About The Position

As Senior Associate, M&A, you will own the analytical engine behind Windsor Path's acquisitions and the financial reporting that keeps our investors, lenders, and leadership informed. Once our origination team brings a qualified opportunity to the table, you will build the valuation, support deal structuring, and lead diligence through closing. Beyond live transactions, you will own investor reporting and track the financial performance of our member firms after they join the platform. This role is similar in scope to an associate at a private equity firm, with more ownership and direct exposure to leadership, investors, and firm owners than a traditional fund would offer, as well as meaningfully more operational exposure and ability to drive real impact. You will work closely with the Co-CEOs, the VP of New Partnerships, and outside advisors including QoE providers and legal counsel.

Requirements

  • 3-6+ years of experience in investment banking, private equity, transaction advisory/QoE, or corporate development
  • Advanced financial modeling skills, including three-statement, LBO/returns, and valuation analysis. We will include a modeling test in the interview process
  • Hands-on experience running or supporting financial due diligence on acquisitions
  • Strong accounting foundation and the ability to read, normalize, and pressure-test small business financial statements
  • Excellent organizational skills and the ability to manage multiple deal and reporting workstreams at once
  • Clear, concise written communication. You will be preparing materials for investors and leadership.

  • Experience with professional services M&A, particularly accounting, tax, or advisory firms
  • Experience at a PE-backed platform or roll-up executing add-on acquisitions

Responsibilities

  • Build and maintain valuation models for prospective member firms, including normalized/adjusted EBITDA, pro forma projections, and returns analysis
  • Model deal structures that include cash at close, rollover equity, and deferred consideration, and assess the impact on platform-level returns
  • Analyze preliminary financials received from the origination team and identify key value drivers, risks, and questions for sellers
  • Prepare materials that support LOI and proposal development
  • Maintain and update the platform-level acquisition model as new deals close
  • Lead post-LOI financial diligence on prospective member firms, including revenue quality, client concentration, WIP and AR, realization rates, partner compensation, staff utilization, and revenue and client retention
  • Coordinate and manage third-party advisors (QoE, legal, tax, IT, HR) and keep the diligence process on schedule
  • Maintain diligence request lists, data rooms, and issue tracking
  • Summarize findings and recommendations for investment decisions, including owning the investment memo that accompanies our investment into each member firm
  • Support purchase agreement review and closing mechanics, including funds flow
  • Prepare quarterly investor updates, board materials, and ad hoc analyses for Windsor Path's capital partners
  • Respond to occasional investor information requests
  • Build and maintain financial dashboards tracking member firm performance against budget and acquisition case
  • Flag performance issues early and support leadership in addressing them with member firm partners
  • Help develop standardized reporting processes as the portfolio grows
