This role involves advising on all aspects of commercial lending and depositary receipts (“DR”) transactions, products, programs, platforms, processes, and related matters. Key responsibilities include structuring, documenting, negotiating, and closing commercial lending transactions, as well as advising on the depositary's relationship with non-U.S. DR issuer clients and custodian agents. The position also entails advising on DR program establishments, offerings, ongoing transactions, and the extension of issuers' corporate actions to DR holders, such as tender and exchange offers, rights offerings, dividends, and proxy voting. The successful candidate will manage escalations from business stakeholders and outside counsel, assist in interactions with regulators in emerging markets to introduce DR products, negotiate agent and vendor documentation, and contribute to special, regional, and global projects for the Credit Services and DR businesses. The role requires interaction with senior management, partnership with control functions like Risk, Audit, and Compliance, management of outside counsel, and collaboration with the Credit Services and DR Legal Team.
