Requirements

  • Juris Doctor from an accredited law school and a member of the Pennsylvania or New York Bar.
  • 5 years’ minimum of total work experience as a qualified attorney, preferably representing major financial institutions in lending and/or US public securities issuance.
  • Ability to handle a diverse and demanding workload
  • Excellent negotiation, analytical, problem-solving, drafting and communications skills
  • Ability to function independently, but also to function as part of effective teams

Nice To Haves

  • Some familiarity with fund finance a plus
  • Cross-border transactional experience and familiarity with international securities markets a plus
  • Some familiarity with Regulation S, Rule 144A and Rule 144 a plus

Responsibilities

  • Advising on all aspects of commercial lending and depositary receipts (“DR”) transactions, products, programs, platforms, processes and related matters
  • Structuring, documenting, negotiating and closing commercial lending transactions
  • Advising on all aspects of the depositary's relationship with non-U.S. DR issuer clients and custodian agents
  • Advising on DR program establishments, offerings and ongoing transactions and implementation and the extension of issuers' corporate actions to DR holders, including tender and exchange offers, rights offerings, dividends and proxy voting
  • Managing escalations from various business stakeholders internally and outside counsel on transactional and documentation issues
  • Assisting the business in interactions with regulators in various emerging and frontier market jurisdictions to introduce the DR product and engage with development of new DR uses in existing markets
  • Negotiating agent and vendor documentation
  • Assist on special, regional and global projects as required for the Credit Services and DR businesses
  • Interacting with senior management and relevant business stakeholders
  • Partnering with control functions serving in an advisory or oversight capacity, such as Risk, Audit and Compliance
  • Managing outside counsel and advising on business, regulatory and legal developments
  • Collaborating with other Credit Services and DR Legal Team members, as needed
