About The Position

As Senior Manager, Mergers & Acquisitions Accounting, you will play a visible role in the strategic growth engine of Veralto. Veralto is focused on growth through both organic performance and strategic investment opportunities. This role puts you close to that strategy, partnering with senior leaders, Corporate Development, Finance, Tax, and operating company teams on acquisitions, divestitures, and investments that help shape the future of the business. You will serve as a key technical accounting leader, guiding accounting and valuation matters related to business combinations, strategic investments, impairment analyses, and post-acquisition activities while ensuring compliance with evolving accounting standards. The work is highly cross-functional and will require strong partnership with senior levels of management, giving you meaningful visibility and influence across a global organization. Reporting directly to the Corporate Controller, this role combines technical accounting depth, strategic thinking, executive partnership, and exposure to a high-volume M&A environment.

Requirements

  • Bachelor’s degree in Accounting. CPA preferred.
  • 7+ years of experience in a large, international, public accounting firm and/or large multinational company required.
  • Expert knowledge in Acquisition accounting under ASC 805, including experience performing or auditing third-party purchase price allocations, contingent consideration, call/ put options, and fair value adjustments to inventory.
  • Expert knowledge in Accounting for Impairments of Intangible Assets, Goodwill, and Long-Lived assets under ASC 350 and 360.
  • Experience supporting accounting matters in multinational and public-company environments.
  • Ability to partner with external auditors and support SEC disclosure / external reporting processes.

Responsibilities

  • Partner with Corporate Development to address technical, acquisition-related issues and facilitate transition of such matters and due diligence findings to operating company’s management.
  • Facilitate purchase price allocation studies performed by third-party valuation firms and other valuations of newly acquired businesses.
  • Partner with acquired company finance teams to prepare and review post-acquisition opening balance sheets.
  • Interface with external auditors on review of opening balance sheets, valuation results and Sarbanes-Oxley (SOX) compliance matters.
  • Evaluate and propose initial accounting for early-stage minority investments, convertible debt, and equity method investments and LP/LLC activities.
  • Review portfolio investments for impairment indicators and fair value adjustments arising from new financing rounds and make recommendations on accounting.
  • Work with Corporate Tax team to understand acquisition-related step plans and associated accounting requirements to support global tax strategy planning.
  • Drive adoption of technology and tools, including AI and Alteryx, in corporate accounting activities.
  • Support the quarterly and annual SEC disclosure and external reporting processes.
  • Support Corporate functional areas, as required, by providing financial and business analytic support.
  • As required, support the integration of acquisitions, including the monitoring of purchase accounting activity as well as post-acquisition integration activities.
  • Provide direct and indirect oversight of other associates on the Corporate Accounting Team as required.
  • Participate in and act as a resource for global finance projects and initiatives aimed at improving efficiency, increasing standard work, and creating global best practices.
