About The Position

Realty Income is seeking a Senior Legal Counsel for its fast-growing Acquisitions and Development legal team. This role will provide professional legal counsel, supervision, and administration of all necessary legal services for newly acquired properties, including completed and development projects. The Senior Legal Counsel will collaborate with other in-house attorneys, paralegals, outside counsel, and third-party service providers, offering legal advice to the Company's decision-makers.

Requirements

  • Juris Doctorate degree from an accredited law school.
  • At least three years of commercial real estate acquisitions and development experience, either in-house or with a law firm.
  • Active bar license in good standing in the state in which you reside.

Responsibilities

  • Coordinate, analyze, manage, negotiate, document, and close a wide range of multifaceted real estate acquisition and development transactions.
  • Review, draft, negotiate, and approve documents relating to real estate acquisition, including confidentiality agreements, letters of intent, purchase agreements, escrow instructions, lease agreements, amendments, assignments, estoppels, development agreements, deeds, closing documents, and business entity documents.
  • Review, evaluate, and approve information and reports related to real estate acquisition, such as title commitments, plats, site plans, surveys, environmental reports, and engineering reports.
  • Analyze entitlement status and zoning issues.
  • Review existing loan documents and negotiate lender consent documents for the assumption of in-place loans.
  • Supervise paralegals and legal assistants in coordinating escrow closings and post-closing matters.
  • Apply risk management techniques, assess potential exposure, and provide proactive advice on legal issues arising during acquisitions.
  • Communicate and negotiate with external parties, including brokers, external counsel, and third-party vendors.
  • Provide second-level review of attorney and paralegal work as needed.
  • Conduct general legal research and investigation.
  • Provide routine advice and counsel to all departments on legal matters.
  • Handle property management (PM) legal matters, including drafting/negotiating lease administration documents and managing leasing transactions.
  • Negotiate and process condemnations, easements, rights of way, rights of entry, and similar agreements affecting property title.
  • Review and interpret REA issues and other title encumbrances.
  • Manage and monitor environmental issues, review environmental reports, and draft/negotiate environmental license agreements.
  • Consult with PM on deal structuring, lease compliance, and interpretation of lease terms.
  • Participate in workouts with tenants and their counsel, drafting and negotiating workout documents.
  • Retain and oversee local counsel as necessary.
  • Manage and oversee ongoing litigation and retain/supervise outside legal counsel.
  • Manage and oversee property and liability insurance claims and related matters.
