About The Position

The Senior Director, Corporate Strategy and Business Development position is a leadership role within the group and reports directly to the Vice President and Managing Director, Corporate Strategy and Business Development. This is a key role responsible for leading and supporting Convatec’s annual Strategic Planning process and strategy development along with identifying, assessing, conducting diligence and leading and/or supporting negotiations on new business opportunities that are in line with the overall Corporate, business and strategic growth objectives. The leader works collaboratively with other internal functions to build unique and compelling growth strategies based on deep understanding of customer needs and market trends. Additionally, the leader will be accountable for assessment of market potential, financial viability, technical relevance, and proprietary and legal implications, of potential new business opportunities. Furthermore, the Senior Director, Corporate Strategy and Business Development is responsible for completing financial models, preparing and presenting opportunities to senior leaders and the Board of Directors, deal negotiations and supporting integration activities.

Requirements

  • Degree with major in Finance, Economics, Accounting or Business Studies, MBA preferred.
  • Other post-graduate studies in corporate finance and/or banking.
  • Significant previous experience of working in a similar corporate development, corporate strategy, investment banking, or private equity role is required.
  • Excellent analytical, communication and presentation skills.
  • High standards of accuracy and precision.
  • Evidenced ability to execute and deliver effectively under high pressure and fixed time constraints.
  • Ability to fit into a customer and patient-oriented culture.
  • Team player and ability to build strong and effective working relationships across the Convatec organization.

Responsibilities

  • Support business and function level strategic planning and Corporate strategic planning activities.
  • Institutionalize and lead monthly Corporate Development governance process, as well as supporting regular updates for the Board.
  • Build and maintain target list through interaction with internal and external stakeholders and advisors.
  • Track the status and key actions for each opportunity to ensure the target list remains ‘current’ at all times.
  • Research market conditions and developments and review ad hoc market research in order to gain and develop knowledge of the industry, key players, competitors and suppliers.
  • Identify and evaluate (both independently and in collaboration with business units), potential candidates for investment, acquisition or strategic partnership.
  • Support the preparation of briefing materials to the Convatec Executive Leadership Team and other key stakeholder groups, up to Board level.
  • Be a trusted partner to business unit and function leadership to develop investment theses for all inorganic opportunities and create detailed operating models to stress test key assumptions.
  • Project manage and co-ordinate acquisitions including valuation, transaction structuring, the due diligence process, deal negotiation, pre-signing and Day 1-100 planning.
  • Ensure all key internal and external stakeholders are aligned and either in approval of or working to the transaction timetable.
  • Create financial analyses, including discounted cash flow, merger consequences and investment returns for potential transactions.
  • Lead the development and execution of transactional plans.
  • Identify deal risks and work with business unit and functional leaders to assess and devise solutions.
  • Lead, organize and motivate deal teams comprised of both internal associates and external advisor relationships (investment banks, law firms, industry consultants, accounting firms).
  • Enhance the Business Development process and framework to evaluate multiple M&A projects and prioritize target list.
  • Conduct financial due diligence to determine intrinsic value to Convatec and overall impact to the business.
  • Lead the setting of and negotiation over deal terms and parameters.
  • Work with key stakeholders across the business to ensure strategic fit and financial impact is clearly covered and in sufficient detail during any due diligence process.
  • Independently verify the synergies and deal drivers identified prior to acquisition, with risks or issues to benefits realisation escalated as required.
  • Work with the business units and functions to both help them review and develop their Post-Integration plans, with feedback from the acquiring business unit management team and external advisors.
  • Monitor the execution of integration plans post deal, in conjunction with the relevant Convatec Executive Leadership Team owner for the deal, as well as all other key stakeholders.
  • Ensure effective governance and communication protocols are in place to manage the acquisition and inform the wider business.
  • Help develop some standardisation of Post-Merger Integration processes within Convatec to allow continuous improvement and accelerated successful integration of future acquisitions.
