About The Position

This Senior Counsel (Real Estate) position provides a unique opportunity to work in the Legal Department of the renewable energy business of a diversified energy company. Avangrid, Inc. operates regulated electric and natural gas utilities and renewable energy generation in 24 states through two lines of business, with combined assets of approximately $48 billion. Avangrid Power, the renewable energy business, owns and operates 10.5 gigawatts of electricity capacity, primarily through wind and solar power, with a presence in 22 states across the United States and corporate offices in Portland, Oregon and Boston, Massachusetts. The successful candidate will be an integral member of a team providing legal counsel and support to Avangrid Power utilizing global best practices. This position will provide legal support for a variety of development, construction and asset management activities for renewable energy projects, specifically as they relate to real estate matters. This position will work with an existing Senior Counsel dedicated to real estate matters. This position reports into the Deputy General Counsel of Avangrid Power and is an individual contributor role with no direct reports.

Requirements

  • J.D. degree from an ABA-accredited law school, state Bar Admission, and a minimum of six (6) years of relevant legal experience.

Nice To Haves

  • Prior experience with in-house or a combination of in-house and law firm practice at least significantly focused on real estate.
  • Experience managing legal support to a large volume of projects simultaneously.
  • Experience with sourcing, appointing, directing and approving the work of outside counsel.
  • Experience leading project teams including developers, surveyors, outside counsel, consultants and title company staff.
  • Experience supporting the real estate aspects of financing renewable energy projects.
  • Familiarity with Power Purchase Agreements, Interconnection Agreements, Permits, LLCAs, ECCAs, MIPAs, BOAs, CFAs, SLBs and other financing instruments and other agreements relating to renewable energy projects.

Responsibilities

  • Providing legal counsel and advice supporting development, construction and asset management activities relating to renewable energy projects, specifically involving real estate matters.
  • Supporting the company in major transactions and negotiations relating to renewable energy projects, including joint ventures, landowner issues, asset dispositions and acquisitions and other matters.
  • Presenting complex legal matters to senior business clients succinctly and utilizing non-legal language.
  • Managing outside counsel.
  • Reviewing and approving transactional agreements including but not limited to wind, solar and BESS leases, purchase and sale agreements, options to lease or purchase, easements, amendments, assignments, terminations and other miscellaneous agreements, including those for access and transmission. Some drafting may also be required.
  • Anticipating reasonable risk reduction and conditions necessary to support issuance of title insurance; selecting, reviewing, approving and some drafting of title curative instruments and methods including SNDAs, crossing consents, affidavits of non-production, minerals waivers, mineral ownership reports, drill pad reserve agreements, quiet title actions, probate actions, boundary line adjustments, etc.
  • Supporting internal and external litigation counsel on real estate matters.
  • Coordinating with an in-house real estate paralegal.
