About The Position

This role offers an excellent opportunity for an attorney with approximately four to six years of relevant experience to join Antares' Legal and Compliance Team and help support a growing private credit platform. Based in Antares' Chicago office, the Senior Counsel will work closely with attorneys, compliance professionals, finance colleagues, business teams, and other internal stakeholders on a broad range of corporate, transactional, governance, and operational matters related to supporting Antares as a Private Credit asset manager. Given the dynamic nature of Antares’ priorities, we seek flexible and innovative team members who can work independently and deliver results that meet business needs. The role is well suited for a practical, intellectually curious attorney who enjoys working across functions, learning the business, and helping the organization move efficiently while managing legal risk.

Requirements

  • Juris Doctor degree from an accredited law school; active license to practice law in at least one U.S. jurisdiction required, with Illinois or New York preferred.
  • Approximately four to six years of relevant law firm and/or in-house legal experience; experience with commercial transactions, mergers and acquisitions, finance, corporate governance, asset management, or private credit is beneficial.
  • Strong foundational understanding of corporate structures, legal entity governance, and contracting principles, and practical risk management.
  • Ability to spot legal and business issues, propose practical solutions, and escalate significant matters to Legal Department leadership when appropriate.
  • Excellent written and verbal communication skills, including strong legal drafting, negotiation, organization, and follow-through.
  • Collaborative, proactive, and service-oriented approach, with the ability to build trusted relationships across legal, compliance, finance, operations, and business teams.
  • Comfort working in a fast-paced environment, managing multiple priorities, and taking ownership of projects with appropriate supervision.
  • Experience with Microsoft Suite including Word, Excel, PowerPoint, and Outlook or comparable software application (SharePoint experience preferred, but not required)
  • Unrestricted authorization to work in the United States.
  • Willingness to comply with pre-employment screening, including but not limited to drug testing, reference verification, and background check.
  • Willingness to work from the Chicago office.

Responsibilities

  • Coordinate with the internal paralegal team, Finance, Compliance, and business stakeholders to support non-SEC licensing requirements, state qualifications, and non-investment adviser regulatory filings, helping ensure filings are timely, accurate, and efficiently managed.
  • Help maintain and enhance Antares' corporate records, legal entity information, and related retention processes, including continued development and use of the Antares Legal Entity Management System.
  • Support and help manage Antares' response process for high-volume Know Your Customer and anti-money laundering requests, working with internal teams to coordinate responses and identify opportunities to streamline recurring diligence workflows.
  • Draft, review, and negotiate non-reliance letters and non-disclosure agreements, balancing business objectives with appropriate protection of confidential information and legal risk management.
  • Assist Deputy General Counsels and other attorneys with structuring, reviewing, drafting, and negotiating a variety of commercial agreements, including consulting and professional services agreements, leases, software licenses, vendor agreements, supplier agreements, and event-related contracts.
  • Provide support to the Corporate Legal Team on governance matters, including board and committee processes, corporate approvals, entity governance, and related records.
  • Monitor and help assess legal developments that may affect Antares' corporate legal approach, escalating key issues and partnering with stakeholders to support timely compliance and strategic alignment.
  • Contribute to the development and maintenance of policies, procedures, templates, playbooks, and training materials that promote consistency, efficiency, integrity, and transparency across the organization.
  • Assist other attorneys with litigation, dispute, subpoena, records, and related matter-management activities as needed.
