About The Position

Superhuman is seeking a Senior Counsel, M&A to join their Legal team. This role will lead the structuring, negotiation, and execution of complex corporate M&A transactions, including overseeing legal due diligence, post-closing integration, and providing support on general corporate transactions, governance, and investor relations matters. The position reports directly to Superhuman’s Head of Corporate Legal and will have primary ownership of all M&A and strategic transaction work. This role will partner closely with Executive, Corporate Development, Finance, and People teams to develop strong, extensible, and repeatable practices. The Senior Counsel, M&A will leverage deep transactional experience to support Superhuman’s growth, taking on critical M&A projects with accuracy, creativity, and ownership. They will efficiently use outside counsel, build repeatable cross-functional processes, and build trust across the legal team and the business to achieve strategic acquisition goals. The role also involves developing strategies for handling legal issues creatively and building processes for scaling flexible solutions that address risk, and advising internal stakeholders on legal risks, obligations, and mitigations.

Requirements

  • Proven background (10+ years) in leading mergers and acquisitions, strategic investments, due diligence, and integration activities.
  • Training at a top-tier law firm and solid in-house experience.
  • Corporate governance and fundraising experience a plus.
  • Experience supporting finance (including corporate development, capital structures and fundraising) and investor relations at a high-growth and innovative technology company.
  • Track record of driving alignment and delivering results on complex, cross-functional projects involving various stakeholders.
  • Excellent time management skills to juggle multiple time-sensitive projects simultaneously in a fast-paced, high-growth environment.
  • Comfortable independently owning end-to-end deal processes and working with cross-functional teams.
  • Ability to advise senior leaders on risk tolerance and balancing to drive the business forward.
  • Clear and empathetic communication skills, both face-to-face and in writing.
  • JD and admission to the bar, with a license to practice law in at least one US state.

Responsibilities

  • Collaborate cross-functionally across the company at every level on M&A, strategic transactions, and investor-related matters.
  • Structure, conduct, and manage legal due diligence, engaging internal and external partners when necessary to ensure alignment.
  • Draft, negotiate, socialize, and review transaction documents.
  • Lead deal execution logistics, including managing post-closing integration and compliance efforts.
  • Support, as a secondary responsibility, corporate governance matters, including corporate entity management, new entity development and implementation, equity program strategic planning, insurance, and board-related matters.
  • Develop strategies for handling legal issues in creative ways and build processes for scaling flexible solutions that address risk.
  • Advise internal stakeholders, providing clear, concise, and thorough guidance on legal risks, obligations, and mitigations.
