About The Position

The Senior Counsel will provide dedicated legal support to the GreensLedge Capital Markets business, advising investment banking and capital markets professionals on transactional, regulatory, and advisory matters, with a particular focus on structured credit and securitized products. The Senior Counsel will report to the Senior Assistant General Counsel, Fixed Income primarily responsible for legal support of GreensLedge’s business. This role requires strong transactional drafting and negotiation skills, experience supporting capital markets or investment banking activities, and familiarity with structured products, including collateralized loan obligations (CLOs), collateralized fund obligations (CFOs), rated feeders, and related structured credit products. The Senior Counsel will serve as a practical, business-oriented legal partner, independently managing a high volume of day-to-day transactional matters while escalating significant legal and regulatory issues as appropriate.

Requirements

Juris Doctor (J.D.) with six years experience along with strong academic credentials; active bar membership in good standing.
Five+ years of relevant transactional legal experience in structured finance, structured credit, securitization, capital markets, investment banking, or comparable private practice or in-house experience.
Demonstrated experience independently drafting and negotiating NDAs, engagement letters, and other transaction and commercial agreements in a capital markets or financial services environment.
Familiarity with structured products and structured credit transactions, including CLOs, CFOs, rated feeders, and related securitization, private placement, or fund-financing structures.
Ability to independently manage a high volume of transactional matters, prioritize competing demands, and exercise sound judgment in a fast-paced environment.
Excellent drafting and negotiation skills, with the ability to efficiently negotiate NDAs, engagement letters, and other transaction documents while identifying and appropriately escalating material legal issues.
Commercial understanding of capital markets transactions and the ability to become fluent in complex structured products and translate legal and regulatory considerations into practical advice for business professionals.
Clear, confident communicator with the ability to engage effectively with senior business partners, counterparties, and outside counsel.
Practical, solutions-oriented approach to managing legal and regulatory risk while facilitating business objectives.

Nice To Haves

Experience at a major law firm or financial institution strongly preferred; working knowledge of securities laws and SEC and FINRA requirements relevant to broker-dealer investment banking and capital markets activities preferred.

Responsibilities

Serve as day-to-day legal coverage for the GreensLedge Capital Markets business, with responsibility for transactional matters supporting its investment banking and capital markets activities.
Independently draft, review, and negotiate a high volume of agreements, with particular emphasis on: NDAs and confidentiality agreements, including transaction-specific and counterparty forms; Engagement letters for investment banking, placement agent, arranger, advisory, and related mandates; Other commercial, transaction, distribution, offering, and capital markets agreements
Provide legal support for structured credit and securitized products, including CLOs, CFOs, rated feeders, and related financing, placement, and capital markets transactions.
Advise on the legal and commercial terms of investment banking and capital markets engagements, including confidentiality, conflicts, indemnification, fee arrangements, reliance provisions, termination rights, and other transaction-specific considerations.
Review and advise on offering, marketing, and other transaction materials, and coordinate efficiently with outside counsel, clients, counterparties, and other transaction parties as appropriate.
Partner closely with investment banking and capital markets professionals to provide practical, timely, and commercially oriented legal advice.
Collaborate with Compliance, Risk, and other control functions on regulatory matters and support effective risk management and controls.
Manage external counsel in connection with transactions, regulatory matters, and specialized projects.
