About The Position

Legal plays a central role in enabling that transition. Infleqtion is seeking a Senior Counsel, Commercial & Strategic Transactions to report directly to the Chief Legal Officer and serve as a critical legal partner for commercial contracting and strategic transactions, working closely with commercial, product, engineering, and operational leaders. Approximately 70–80% of this role will focus on complex commercial contracting and strategic transactions. The remainder will involve broader legal generalist responsibilities within a lean, high-impact legal team supporting a NYSE-listed company. This role requires strong transactional discipline, business judgment, and the ability to operate effectively in a high-growth, technically sophisticated environment where urgency and excellence must coexist.

Requirements

  • JD from an accredited law school with strong academic credentials.
  • 6+ years of relevant legal experience, including substantial responsibility for complex commercial transactions; top-tier law firm training strongly preferred.
  • Significant experience negotiating complex commercial agreements.
  • Experience in technology, advanced research, aerospace, defense, or regulated industries preferred.
  • Comfort operating in a lean environment with high ownership and limited bureaucracy.
  • Demonstrated ability to manage multiple reporting deadlines and competing priorities with precision.
  • Strong executive communication skills and ability to translate legal risk into practical business guidance.
  • An ownership mindset with bias toward action.
  • Ability to balance urgency with technical and legal excellence.
  • Willingness to coach business teams and actively seek coaching and feedback in return.
  • Comfort giving and receiving direct feedback.

Nice To Haves

  • Experience with government contracting frameworks (e.g., FAR/DFARS) is a plus but not required.
  • Familiarity with ITAR/EAR is a plus.

Responsibilities

  • Structure bespoke, high-impact transactions aligned with long-term enterprise value.
  • Provide risk-balanced guidance that enables revenue generation while protecting intellectual property, regulatory posture, and public company obligations.
  • Support engagements involving government and regulated customers.
  • Coordinate with internal stakeholders on export control and national security considerations.
  • Support strategic collaborations, joint development initiatives, and other growth-oriented transactions as needed.
  • Draft, review, and negotiate a broad range of agreements, including: Customer and strategic partnership agreements, Government and research contracts, Licensing and technology development agreements, SaaS and data agreements, Vendor and procurement agreements.
  • Partner with Finance and leadership to align contractual structures with revenue recognition, disclosure controls, and public reporting requirements.
  • Contribute to scalable legal processes, playbooks, and approval frameworks to increase velocity without sacrificing discipline.
  • Deliver targeted training to commercial and technical teams on contracting standards, risk awareness, and compliance fundamentals.
  • Support cross-functional corporate, regulatory, and governance matters as needed.

  • A good faith estimate of the base salary range for this position is $180,000 to $240,000 annually.
