About The Position

Atlas HXM is hiring an exceptional, business-minded Senior Counsel, Commercial Law – Partnerships to join our high-performing Legal & Compliance team. This is an impactful leadership role in which you'll be a driving force behind Atlas HXM's Employer of Record ("EOR") business — structuring and negotiating the complex, high-value commercial agreements that power our ability to hire, pay, and support workers across 160+ countries on behalf of our clients and partners, while safeguarding our company's global operations.
You will partner closely with cross-functional teams within Sales, Partnerships, Operations, and Finance, and provide practical, solution-oriented legal advice and support on a wide variety of partner-related commercial deals and issues. You will own deal strategy end-to-end — shaping negotiation approaches, closing critical agreements, and fostering strong, trust-based relationships both internally and externally. You will also work closely with colleagues in Legal & Compliance to ensure Atlas HXM's unwavering commitment to global compliance is always fulfilled.
This position reports to the Director, Assistant General Counsel, Commercial Law, and offers the opportunity to lead significant deals, manage others, and work alongside C-level executives in a fast-paced, highly dynamic industry. The ideal candidate combines deep EOR market knowledge with elite negotiation skills, exceptional written and verbal communication, and the emotional intelligence to navigate high-stakes conversations and difficult personalities with integrity and poise. We are looking for someone who is principled without being rigid, commercially sharp without losing sight of the bigger picture, and who takes full ownership of everything they touch.

Requirements

• J.D. from an accredited law school (or international equivalent) and active admission in at least one U.S. state bar.
• 8+ years of legal experience, with at least 4 years in-house at a global organization, preferably in EOR, HR technology, SaaS, PEO, or professional services.
• Deep experience structuring, negotiating, and closing complex commercial transactions in a fast-paced business development setting, with strong preference for candidates who have worked directly in or alongside EOR or global employment solutions businesses.
• Elite negotiation skills grounded in a win-win mindset — you pursue outcomes that are durable, not just favorable on paper, and you know the difference between holding firm on what matters and creating unnecessary friction.
• Exceptional writing skills — your contracts are precise and leave no room for damaging ambiguity; your memos and risk summaries are clear enough to stand on their own without a follow-up meeting.
• Outstanding communication skills and high emotional intelligence — you can break down complex legal concepts for any colleague, keep internal teams calm through difficult negotiations, and adjust your approach depending on who is in the room.
• Unimpeachable ethics and principles — your standards are not situational, and colleagues at every level know they can count on you for an honest assessment, even when it is inconvenient.
• Sharp risk intelligence — you think in scenarios, weigh consequences, and present options and solutions rather than just problems, understanding that legal risk never exists in isolation from its commercial and operational context.

Nice To Haves

• Familiarity with data privacy frameworks (GDPR, CCPA), international labor and employment law, corporate governance, and M&A transactions is preferred but not required.

Responsibilities

• Lead negotiations for high-value, complex partner agreements — including EOR service agreements, reseller and white-label arrangements, referral structures, and global enterprise deals — from term sheet through execution.
• Draft, review, and refine the full spectrum of commercial documents, including master service agreements, partner framework agreements, NDAs, engagement letters, statements of work, and bespoke transactional contracts with the precision and clarity that multi-jurisdictional EOR arrangements demand.
• Evaluate legal, regulatory, and commercial risks embedded in every deal — including employment liability exposure, indemnification structures, data protection obligations, and cross-border compliance requirements — and translate those risks into clear, actionable guidance for business leaders.
• Partner with cross-functional teams to design deal structures that balance growth ambitions with disciplined risk mitigation, always keeping the long-term health of the partnership in view.
• Serve as a trusted strategic advisor to senior executives, contributing to partner expansion decisions, deal strategy, and the evolution of Atlas HXM's partnership model.
• Lead high-impact projects that advance the company's commercial and strategic objectives.
• Lead, mentor, and inspire Legal & Compliance team members — sharing expertise, modeling the highest standards of professional ethics, and fostering a culture of collaboration and continuous learning.
