About The Position

This Senior Corporate Paralegal will be an integral member of the Legal Department and will support the Legal Department in corporate governance, entity management, intellectual property management, corporate compliance, file maintenance, outside counsel administration, forecasting and budgeting, and special projects (including corporate transactions). The Senior Corporate Paralegal will also be expected to assist other members of the Legal Department as may be required from time to time, based on workloads and overall legal priorities.

Requirements

  • Bachelor's degree, preferably in pre-law or paralegal studies
  • 7-10 years of corporate paralegal experience required
  • Basic computer skills

Responsibilities

  • Perform entity management duties for all subsidiaries and affiliates of Materion including maintenance of corporate organizational chart, and records of directors and officers.
  • Undertake corporate secretarial duties, such as drafting and keeping track of Board and Committee agendas, minutes and consents/resolutions.
  • Assist with other corporate legal matters such as maintaining shared files and templates and managing projects.
  • Draft corporate documents such as incumbency certificates, delegations of authority, powers of attorney and other statutory filings or documents, resolutions and minutes, and other general parent and subsidiary level corporate work.
  • Assist with public company Board of Directors and other corporate governance related matters including Board books.
  • Support ongoing public company compliance obligations, including SEC and NYSE filings and submittments.
  • Provide timely responses to legal requests from other internal functional areas, such as Tax, Treasury and Accounting, for preparation, review and analysis of legal documents or research of legal entity issues.
  • Support the management of all IP portfolios, including tracking and facilitating decisions regarding the registered IP in the portfolio, working with the technical teams on reviewing and trimming the portfolio, monitoring opposition deadlines and due dates, and forecasting spend and tracking actuals.
  • Draft and review Non-Disclosure Agreements (under supervision of counsel).
  • Assist with various corporate transactions, including M&A, corporate financing and internal reorganizations.
  • Draft various agreements in connection with M&As and corporate financing.
  • Review Supply, Services, Distributor and Material Transfer Agreements.
  • Assist with and draft various documents on complex intercompany, domestic and international transactions.
  • Management of outside counsel invoices via E-Billing system, including updating billing guidelines, enforcement of such guidelines, defining a process for fee increases.
  • Prepare various metrics and reporting for the legal department, including tracking actuals to forecast at the project and AOP level.
  • Compile accrual information for the Finance department.
  • Other tasks as required
