About The Position

We are seeking a business-oriented Senior Corporate Counsel to support a high-growth SaaS organization experiencing approximately high growth. This role will serve as a strategic partner to our sales and business teams, operating in a fast-paced, high-velocity environment where thoughtful risk assessment is essential to enabling revenue and closing enterprise deals. The ideal candidate combines strong technical training (Big Law experience preferred) with practical business judgment. Success in this role requires the ability to quickly understand our products, customers, and risk tolerance, and to provide clear, commercially aligned guidance that supports growth while protecting the business. While the role may include exposure to corporate transactions, the primary focus will be supporting complex commercial negotiations, renewals, and vendor engagements in a scaling organization.

Requirements

  • A minimum of 6+ years of experience in corporate transactions and business law at a reputable law firm or corporate environment; preference given to AmLaw 200 experience
  • Proven experience with business law, corporate law, and commercial transactions
  • Proactive mindset, strong analytical skills, and the ability to work both independently and collaboratively within a team environment.
  • Excellent analytical and problem-solving skills, with ability to provide strategic, business-oriented practical advice and solutions
  • Ability to multi-task, with flexibility to manage changing priorities and projects under time constraints
  • High attention to detail, organization, efficiency and preparedness
  • Proficiency in drafting agreements
  • Strong knowledge of technology industry preferred
  • Juris Doctor (JD) degree from an accredited law school
  • Admission to a state bar

Responsibilities

  • Offer daily guidance and support to business partners on various intricate corporate matters, such as mergers and acquisitions, corporate transactions, and compliance issues.
  • Create, assess, and negotiate intricate commercial contracts and agreements, including those related to SaaS technology.
  • Provide insights on corporate legal rights, identify potential legal risks, and contribute to the formulation of effective business strategies.
  • Work closely with business partners to negotiate contracts with both customers and vendors.
  • Stay informed about the organization's operations and legal documentation to ensure a comprehensive understanding of relevant aspects.
