About The Position

Our client is a globally recognized, privately held boutique investment bank focused exclusively on the technology sector. Founded in 2008, the firm has advised on many of the most consequential technology transactions of the modern era, partnering closely with senior management teams and boards of directors across both established and emerging technology leaders. Headquartered in San Francisco, the firm operates with a lean, high-caliber team. The firm seeks a Senior Corporate Counsel to join its lean, high-caliber legal team. Reporting directly to the General Counsel, this attorney will work at the center of the firm's deal activity — partnering with the GC and senior bankers on some of the most consequential technology transactions in the market, while contributing to the broader legal strategy of one of Silicon Valley's most respected financial institutions

Requirements

  • J.D. from an accredited law school and admission to the State Bar of California.
  • 5–7 years of experience at a leading law firm, preferably in M&A or M&A litigation.
  • Strong drafting, analytical, and communication skills; comfortable working closely with a small, high-performing team.

Responsibilities

  • Assist the General Counsel in the review and markup of the firm's engagement letters.
  • Prepare and maintain engagement letter fallback forms and precedent.
  • Support the General Counsel in advising deal teams on public transactions, including review of proxy disclosure drafts and preparation of relationship disclosure letters.
  • Help monitor the status of active mandates to coordinate across Operations and banking teams.
  • Partner with the General Counsel to shape the firm's approach to AI — evaluating emerging tools, advising on responsible implementation, and ensuring the firm's policies and practices keep pace with a rapidly evolving landscape.
  • Serve as a knowledgeable internal resource on the legal and reputational considerations that accompany AI adoption in a high-stakes financial services environment.
  • Support short- and long-term legal department needs as they arise.
  • Research and assist the banking team on developments in the M&A legal landscape, including updates on case law, antitrust developments, and related regulatory matters.
