About The Position

Baker Tilly is a leading advisory, tax, and assurance firm with a significant presence across the U.S. and globally. The firm operates through an alternative practice structure, with Baker Tilly US, LLP providing attest services and Baker Tilly Advisory Group, LP and its subsidiaries offering tax and business advisory services. Both entities are independent members of Baker Tilly International, a global network of professional firms. The Senior Corporate Counsel role involves drafting, negotiating, and reviewing commercial transactions, contracts, and agreements. This position also provides counsel on contract interpretation, handles dispute resolution, and manages contractual matters throughout their lifecycle. The role requires managing multiple projects in a deadline-driven environment and collaborating with the legal and risk management department, business leadership, and external counsel on various initiatives, including process improvements, risk mitigation, and legal policy development.

Requirements

  • Juris Doctorate degree required
  • At least 5 years of experience in a law firm (preferably Am Law 100 firm) or as an in-house corporate attorney
  • Ability to work effectively within a demanding, deadline-driven environment
  • Proficiency in the use of Microsoft Word, PowerPoint and Excel is required
  • Excellent written and verbal communication and interpersonal skills and the ability to work independently or as a member of a team required

Nice To Haves

  • Experience with information privacy laws, HIPPA, PHI, BAA and related agreements and information privacy laws preferred
  • Project Management experience preferred

Responsibilities

  • Draft, negotiate, and review of commercial transactions, contracts and agreements; providing counsel regarding interpretation of active contracts, and handling contractual dispute resolution.
  • Significant involvement in contractual matters throughout entire contract lifecycle, from formation to termination, for agreements pertaining to diverse subjects
  • Manage multiple contracts and projects in a deadline driven environment
  • Work with the legal and risk management department and business leadership to assist/lead on a variety of projects related to process improvements, risk mitigation and legal policy development
  • Collaborate with external vendors and legal counsel as necessary
