About The Position

Reporting to the Head of Operations, the Senior Corporate Counsel serves as Marco’s sole in-house attorney and is responsible for the company’s entire legal function. This role provides practical, business-focused legal advice to executive leadership and teams across the organization; drafts, negotiates, and manages commercial agreements; advises on employment, privacy, compliance, and corporate governance matters; and manages litigation and outside counsel. As the only attorney on staff, the Senior Corporate Counsel identifies and mitigates legal risk, establishes legal policies and processes, and determines when matters require outside expertise. This is a hybrid position requiring a minimum of three (3) days per week in a Marco office. To succeed in this role, you will need sound judgment and the confidence to make independent legal decisions without in-house attorney peers; strong business acumen; and the ability to translate complex legal issues into clear, actionable guidance. You should be highly organized and able to manage a high volume of matters across multiple practice areas with competing priorities in a fast-paced, evolving environment. You should build trusted relationships at all levels of the organization and uphold the highest standards of professional ethics and integrity.

Requirements

  • Juris Doctor (JD) from an ABA-accredited law school and a minimum of five (5) years of legal experience in a law firm and/or in-house legal department, with substantial experience in commercial contracting and exposure to employment, privacy, compliance, and corporate matters.
  • Active license to practice law and in good standing with the bar of at least one U.S. state; must be admitted, or eligible for registered in-house counsel status, in the state where the role is based.
  • Strong working knowledge of commercial contract, employment, privacy and data protection, and corporate law.
  • Excellent drafting and negotiation skills, with the ability to produce clear, business-friendly agreements and resolve issues efficiently.
  • Sound judgment and the ability to make independent, risk-based legal decisions without in-house attorney peers.
  • Ability to maintain independence and objectivity while serving as a trusted business partner to leadership.
  • Business acumen and the ability to provide practical, solution-oriented advice that supports company goals.
  • Strong legal research and analytical skills, including proficiency with legal research databases.
  • Ability to manage a high volume of matters across multiple practice areas, prioritize effectively, and meet deadlines in a fast-paced environment.
  • Excellent written and verbal communication skills, with the ability to explain complex legal concepts to technical and non-technical audiences at all levels.
  • Ability to build trusted, collaborative relationships with executives, employees, customers, vendors, and outside counsel.
  • Experience managing outside counsel and legal spend.
  • Proficiency with Microsoft Office, contract management systems, and e-signature and collaboration tools.
  • Unwavering integrity, discretion with confidential and privileged information, and commitment to professional ethics.
  • Self-starter who builds processes, templates, and resources that allow the legal function to scale with the business.

Nice To Haves

  • In-house experience, particularly as a sole or lead attorney, is strongly preferred.
  • Previous experience supporting a technology, managed IT services, or SaaS business, experience in a multi-state organization, and experience building or scaling an in-house legal function is preferred.
  • Certified Information Privacy Professional (CIPP/US) or similar privacy certification preferred.

Responsibilities

  • Serve as the company’s sole in-house attorney and primary legal advisor to executive leadership and business teams, providing practical legal guidance that balances legal risk with business objectives.
  • Lead the company’s legal function, including establishing priorities, developing legal processes, templates and playbooks, and managing the legal budget.
  • Establish and maintain processes for legal intake and prioritization, and monitor legal activity and metrics to support effective delivery of legal services.
  • Draft, review, and negotiate commercial agreements, including customer agreements, SaaS terms of service, master service agreements, statements of work, vendor and reseller agreements, data processing addenda, non-disclosure agreements, and real estate leases.
  • Support sales, procurement, and service teams with requests for proposals, bids, contract escalations, and development of standard contract positions and fallback language.
  • Partner with Information Security and Procurement to address security, privacy, business requirements, and vendor due diligence in third-party agreements.
  • Advise Human Resources and leadership on employment matters, including hiring, wage and hour, leave and accommodation, discipline and termination, workplace investigations, separation agreements, and restrictive covenants.
  • Develop and maintain company policies related to legal and compliance matters, including ethics, privacy, records retention, acceptable use, and the Employee Handbook.
  • Administer the Code of Conduct and ethics reporting program and conduct or oversee internal investigations into potential misconduct.
  • Lead the company’s privacy and data protection program, including advising on applicable privacy requirements and supporting security incident response.
  • Monitor relevant legal and regulatory developments, assess their impact on the business, and partner with Risk and Compliance on required changes.
  • Manage litigation, claims, demand letters, and disputes, including evaluating legal exposure, developing strategy, coordinating with insurers, and pursuing resolution.
  • Manage litigation holds, document preservation, and e-discovery in coordination with outside counsel and IT.
  • Select and manage outside counsel, including determining when outside expertise is needed, scoping engagements, and managing legal spend and performance.
  • Support corporate governance and entity management, including board materials, minutes, resolutions, annual filings, and corporate records.
  • Maintain required business licenses, registrations, and qualifications in jurisdictions where the company operates.
  • Provide legal support for mergers, acquisitions, and other strategic transactions, including due diligence, transaction documentation, and post-closing integration.
  • Advise on intellectual property matters, including trademarks, copyrights, confidential information, and intellectual property provisions in commercial agreements.
  • Advise on technology-related legal matters, including software licensing, open-source use, cloud services, and the responsible use of artificial intelligence.
  • Review marketing, advertising, and promotional materials for legal compliance.
  • Advise on insurance and risk management matters, including coverage, indemnification, limitation of liability, and contractual insurance requirements.
  • Provide legal and compliance training to employees and managers as appropriate.
  • Maintain accurate legal and contract records and provide leadership with reporting on legal matters, contract activity, and legal risk.
  • Exercise independent professional judgment and escalate matters to executive leadership or outside counsel as appropriate.
  • Accurately maintain and comply with required documentation, communication, and administrative procedures.
