About The Position

This role involves partnering with commercial leaders to navigate the intricacies of commercial contracts, serving as the primary go-to contracts expert for the Americas region (US, Canada, and Latin America). The position requires close collaboration with the Deputy General Counsel and various departments such as Finance, Sales, and Marketing to provide legal advice in compliance with the Americas Regional Contract Administration Policy (ARCAP). The ideal candidate is comfortable with focused, high-quality contract work, sees contract mastery as foundational to commercial lawyering, and is passionate about good governance, balancing risk mitigation with commercialization, and making an impact. This role is for someone with high potential to grow into a broader commercial legal career. The position offers a hybrid work schedule, with two days on-site in the San Diego office.

Requirements

  • Law degree obtained from an ABA-accredited law school.
  • 5+ years of legal experience post law school, with meaningful hands-on exposure to commercial contract drafting, review, and negotiation.
  • Demonstrated experience drafting, reviewing, and negotiating commercial contracts.
  • Experience with risk-based contract review — understanding what matters in terms and conditions and why.
  • Familiarity with cross-border transactions and international contracts.
  • Superior analytical and problem-solving abilities with meticulous attention to detail.
  • Exceptional communication and drafting skills.
  • Strong organizational skills to manage multiple contracts and projects under tight deadlines.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • High emotional intelligence and a consultative approach. You know how to build trust across functions, stay calm under pressure, and influence without authority. You listen well and do not need to be the loudest voice in the room to make an impact.
  • Supply chain contract experience, including comfort with tiered commercial agreements — from major manufacturing and filler contracts down to retail partner terms and conditions and amendments.

Nice To Haves

  • Experience with supply chain contracts is a plus.
  • Exposure to complex, multi-party agreements is a strong plus.
  • Public company experience is highly preferred.

Responsibilities

  • Draft, review, and negotiate simple to highly complex contracts and other significant documents, with a focus on supply chain and commercial agreements. This includes major aerosol filler and tier-one manufacturing contracts, retail partner terms and conditions and amendments, supply and service agreements, warehousing and distribution agreements, IT agreements, marketing and brand influencer agreements, letters of intent (LOIs), and NDAs.
  • Adopt and lead the implementation of the organization’s global contract strategy in the Americas region.
  • Coordinate the preparation of training materials and conduct trainings locally.
  • Establish, implement, and maintain contract templates, forms, and administration regionally.
  • Collaborate with Americas trading bloc leaders and staff on the appropriate use of consistent contract content that meets legal and business needs.
  • Assist regional offices with contract analysis, assessment of risk, and decision-making.
  • Recommend local contracts policies, strategies, processes, and technology improvements.
  • Provide appropriate legal perspective to prevent acceptance of undue risk.
  • Provide pragmatic, astute advice on contractual risk under a variety of commercial contracts.
