We're looking for a Senior Commercial Counsel who enjoys partnering with the business, building scalable processes, and using AI to rethink how legal work gets done. You'll serve as the primary point of contact for the GTM team, leading commercial transactions from intake through signature while partnering closely with Sales, Finance, Security, Product, and Engineering. You'll own day-to-day commercial contracting, exercise sound judgment about when to escalate, and help build a modern, AI-enabled Legal function that scales with the business. We operate as a fully distributed team with a high degree of ownership. The people who thrive here communicate proactively, build trust across functions, and are comfortable moving work forward independently while knowing when to bring others in.

Requirements

• A JD and active bar admission in good standing in at least one US jurisdiction.
• 5+ years of commercial transactional experience, in-house or at a firm, with real depth in SaaS and technology agreements.
• A track record of independently leading commercial transactions from negotiation through signature.
• Strong legal operations instincts. You think beyond the contract in front of you, using AI, automation, and scalable processes to improve how Legal supports the business. You're motivated to rethink how legal work gets done, not just execute the work itself.
• Fluency with privacy requirements in commercial contracting, including DPAs, data-handling terms, and cross-border transfer obligations.
• Excellent communication skills, written and verbal. You write clearly and translate legal issues into clear, actionable guidance.
• Comfort operating in a fast-moving, lean environment where you take ownership and drive outcomes.
• You thrive in a remote-first environment. You're proactive, communicate clearly in writing, and build strong relationships across teams without relying on being in the same office.
• You're comfortable with a high degree of autonomy. You identify problems, communicate early, and move work forward without waiting for direction.
• You exercise sound judgment. You know when to dive into the details and when to focus on the big picture. You focus on the issues that matter most, communicate risk in practical terms, and help the business move forward.
• You take a pragmatic, service-oriented approach. You look for ways to achieve the desired business outcome, adapt your negotiation style to the circumstances, and build strong partnerships by being responsive, collaborative, and solutions-oriented.

Nice To Haves

• Time inside a software or technology company is a plus.
• Experience with AI products, counseling Product and Engineering teams, export control, compliance, government and public sector work (contracting or commercial), or supporting international sales teams.

Responsibilities

• Lead commercial deals end-to-end as the Legal point of contact, partnering with Finance, Security, Product, and Engineering when needed.
• Draft, review, and negotiate commercial agreements, including SaaS customer agreements, order forms, DPAs, partner and channel agreements, vendor contracts, and NDAs.
• Maintain and improve the Legal toolkit, including templates, negotiation playbooks, and self-service resources that streamline contracting while reserving Legal review for matters that require it.
• Design and implement AI-powered workflows, automation, and playbooks that improve contract intake, review, drafting, and knowledge management.
• Identify opportunities to simplify processes, reduce manual work, and improve how Legal supports the business.
• Train and equip GTM and cross-functional teams so good legal judgment is built into how the business operates from the start.
