About The Position

Evolv Technology is seeking a collaborative, business-savvy Senior Corporate Counsel to establish and lead its federal, state/local, and education (FED/SLED) legal function. This role will also support commercial deal work across the business. It offers a unique opportunity to shape Evolv's approach to public sector contracting and operations, working closely with sales, compliance, and leadership to create scalable processes as the public sector business expands. This is an in-house legal team position at a fast-growing, mission-driven company at the intersection of physical security and technology, where individual contributions will have an immediate impact.

Requirements

  • J.D. from an accredited law school and active bar membership in good standing.
  • 6+ years of legal experience, in-house or at a law firm, with a mix of general commercial and FED/SLED contracting work.
  • Working knowledge of government contracting fundamentals (FAR/DFARS, GSA Schedules) and Trade Agreements Act/Buy American Act compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Service-oriented, detail-oriented, and comfortable working independently in a fast-paced, mission-driven environment.

Nice To Haves

  • Experience working with K-12 and higher education sector.
  • Experience negotiating SaaS, hardware, subscription, and other technology commercial agreements.
  • Familiarity with CLM tools (e.g., Ironclad, Salesforce).

Responsibilities

  • Provide strategic guidance and counsel across the public sector landscape, including sales questions related to public sector contracts (FED/SLED), and counseling on regulatory requirements.
  • Draft, review, and negotiate a wide range of agreements, including sales contracts with federal, state, and local government customers and prime contractors.
  • Identify compliance requirements for specific areas and drive compliance, including applicable FAR/DFAR and agency-specific requirements.
  • Provide contract lifecycle counsel across the public sector business, including RFP/bid response, contract administration, and government contracting compliance obligations.
  • Partner cross-functionally with sales, product, engineering, finance, supply chain, and compliance teams to structure and close deals aligned with business objectives.
  • Provide training and develop resources for legal and cross-functional teams.
  • Draft, review, and negotiate a wide range of commercial agreements, including SaaS, hardware, lease, and subscription agreements.
  • Advise on FAR/DFARS and other US, state, and local government-specific laws and regulations.
  • Identify, escalate, and help resolve contractual and compliance risks in partnership with legal leadership.
  • Contribute to the evolution of Evolv’s contracting templates, playbooks, and tools as the business scales.
  • Counsel product and supply chain teams on compliance and contract requirements relevant to their areas of responsibility.
  • Communicate relevant updates to legal colleagues (and provide training as necessary) and proactively inform the legal team on public sector initiatives that may be relevant to their practice areas.
  • Handle other general commercial and legal matters as needed.
