About The Position

Brown & Brown is seeking a Retail Counsel to join their growing team in Daytona, FL. This position will be a licensed attorney with significant retail experience in insurance-related matters. The Retail Counsel will provide legal guidance and operational guidance (domestic US and international) on a wide array of retail insurance operations, ensuring compliance with applicable laws and regulations, mitigating legal risks, and enabling business growth through sound legal advice. The Retail Counsel has the ultimate responsibility for retail legal matters involving the enterprise wherever located. Retail Counsel oversees the retail team inside the Legal Department and has operational input on all retail legal teams.

Requirements

  • Licensed Juris Doctor with 10 or more years of legal experience in corporate insurance law, preferably in retail insurance brokerage, or related industry.
  • Excellent drafting, negotiation, and communication skills.
  • Bring diversity of thought to the team for the overall success of the enterprise.
  • Has a strong understanding of insurance brokerage operations, retail distribution channels, and regulatory frameworks.
  • Ability to naturally partner across function and division leaders and teams, including the ability to educate, influence, persuade and negotiate with all parties involved in transactions.
  • Team leadership and managing large processes is a must.
  • Ability to work independently and collaboratively in a fast-paced environment.

Nice To Haves

  • Experience with state insurance departments and regulatory filings
  • Familiarity with data privacy laws (e.g., GLBA, CCPA) and cybersecurity regulations
  • Knowledge of employment law and its application in retail settings
  • Proficiency in legal research tools and contract management systems

Responsibilities

  • Manage and direct legal and structuring for all retail matters.
  • Align retail legal strategy with the goals and strategic vision of the Chief Legal Officer.
  • Provide strategic support and guidance to the Retail President, keeping them informed of priority legal matters.
  • Assess and advise the enterprise on legal matters related to retail insurance brokerage operations, including licensing, regulatory compliance, and consumer protection laws.
  • Monitor and interpret changes in insurance regulations and advise internal stakeholders accordingly.
  • Ensure compliance with federal and state insurance laws, including NAIC model laws and state-specific requirements.
  • Draft, review, and negotiate a wide range of contracts including broker agreements, vendor contracts, client service agreements, and NDAs.
  • Support procurement and business development teams with contract structuring and risk mitigation.
  • Identify potential legal risks and develop strategies to mitigate exposure.
  • Manage pre-litigation matters and coordinate with external counsel on disputes, claims, and litigation.
  • Advise on corporate governance matters, including internal policies, ethics, and compliance programs.
  • Support internal investigations and regulatory inquiries.
  • Collaborate with business units, compliance and all enterprise disciplines: tax, IT, finance and team resources to align legal strategies with business objectives.
  • Provide training and education to staff on legal and regulatory topics relevant to retail insurance.
  • Coordinate with corporate secretary and international legal team regarding entity structuring, entity consolidation and tax structures.
  • Participate in the marketing and placement of the retail insurance policies and harmonization of coverage across the retail segment.
  • Consult with communications teams regarding marketing and corporate communications materials in consultation with Corporate Secretary.
  • Oversee all facets of dispositions of offices and books of business, in consultation with Chief Litigation Officer in contested matters.
  • Work with the Chief Litigation Counsel, Corporate Secretary, Technology Counsel, Regulatory Counsel, and Privacy Counsel on retail matters related to their area of expertise.
  • Keep the Chief Legal Officer informed of significant retail matters.
