About The Position

This role is essential in providing strategic legal advice and support across various operations. You will work closely with the senior leadership team, specifically reporting to the Chief Legal Officer. The Corporate Legal Counsel will play a pivotal role in ensuring compliance with laws and regulations while safeguarding the company's interests. Your expertise will help mitigate legal risks and shape policy development within the organization.

Requirements

Juris Doctor (JD) degree from an accredited law school; active state bar member.
Minimum of 5 years of legal experience, particularly in the defense or aerospace industry.
Knowledge of government contracting laws and regulations (FAR, DFARS, ITAR, EAR).
Experience with complex legal matters like corporate governance and compliance.
Ability to offer strategic legal advice to senior executives.
Strong negotiation, drafting, and analytical skills.
Excellent interpersonal and communication skills.
High level of integrity and professionalism.

Responsibilities

Provide expert legal advice to the CLO and executive management on various legal issues.
Oversee compliance with federal, state, and local laws, especially those specific to the defense industry.
Review, draft, and negotiate complex contracts, ensuring mitigation of risks.
Assist in corporate governance matters, including board meetings and policy maintenance.
Identify and mitigate legal risks associated with operations and transactions.
Manage internal and external investigations, ensuring effective representation.
Oversee litigation and dispute resolution processes.
Provide legal support for mergers, acquisitions, and joint ventures.
Protect and manage the company's intellectual property portfolio.
Develop company-wide policies to ensure legal compliance and ethical conduct.
