About The Position

Astrion is seeking a highly experienced and strategic Corporate Legal Counsel to join our senior leadership team. This role will report directly to the Chief Legal Officer (CLO) and play a critical role in providing comprehensive legal advice and support to the company. The Corporate Legal Counsel will ensure that Astrion's operations are conducted in compliance with all applicable laws, regulations, and contractual obligations, while safeguarding the company's interests and mitigating legal risks.

Requirements

  • Juris Doctor (JD) degree from an accredited law school; member in good standing of a state bar.
  • A minimum of 5 years of legal experience, with a significant portion of that experience within the defense or aerospace industry.
  • Knowledge of government contracting laws and regulations, including FAR, DFARS, ITAR, and EAR.
  • Proven experience in handling complex legal matters, including internal investigations, mergers and acquisitions, corporate governance, litigation, and regulatory compliance.
  • Demonstrated ability to provide strategic legal advice and support to senior executives and management teams.
  • Strong negotiation, drafting, and analytical skills.
  • Excellent interpersonal, communication, and leadership skills, with the ability to work effectively in a fast-paced, dynamic environment.
  • High level of integrity, professionalism, and commitment to ethical conduct.

Nice To Haves

  • Experience working in-house at a defense contractor or within a government agency related to defense or in a law firm working on matters related to the defense industry.
  • Knowledge of international trade compliance and export control regulations.
  • Knowledge of Service Contract Act, labor relations, and Defense Base Act compliance principles.
  • Experience with intellectual property management and enforcement in the defense industry.

Responsibilities

  • Legal Advisory: Provide expert legal advice and strategic guidance to the CLO and executive management on a wide range of legal issues, including government contracts, corporate governance, compliance, mergers and acquisitions, intellectual property, litigation, international trade compliance, and employment law.
  • Regulatory Compliance: Oversee and ensure the company's compliance with all applicable federal, state, and local laws and regulations, including those specific to the defense industry, such as ITAR, EAR, and DFARS.
  • Contract Management: Review, draft, and negotiate complex contracts, including government contracts, subcontracts, non-disclosure agreements, and partnership agreements, ensuring favorable terms and risk mitigation for the company.
  • Corporate Governance: Assist the CLO in overseeing corporate governance matters, including board meetings, corporate policies, and maintaining corporate records. Ensure compliance with applicable regulatory requirements.
  • Risk Management: Identify, assess, and mitigate legal risks associated with the company’s operations, projects, and business transactions. Develop and implement risk management strategies in alignment with company objectives.
  • Investigations: Manage and oversee internal and external investigations. Coordinate with external counsel as needed and ensure effective representation of the company's interests.
  • Litigation Management: Manage and oversee litigation, arbitration, and dispute resolution processes involving the company. Coordinate with external counsel as needed and ensure effective representation of the company's interests.
  • Mergers & Acquisitions: Provide legal support in mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence, transaction structuring, and negotiation of deal terms.
  • Intellectual Property: Protect and manage the company’s intellectual property portfolio, including patents, trademarks, and trade secrets. Ensure effective enforcement of IP rights and manage IP-related disputes.
  • Policy Development: Collaborate with the CLO to develop and implement company-wide policies and procedures to ensure legal compliance and promote ethical conduct.
