About The Position

Alnylam is seeking a highly qualified attorney, with acumen and drive, to serve as its Counsel, Corporate Legal. [Reporting to the Global Lead – Contracts,] [T/t]his person will have a broad-based knowledge of contracting principles and experience drafting and negotiating a variety of contracts common to the life sciences industry, an ability to identify legal issues outside their direct area of responsibility and an understanding of legal and compliance issues relevant to a global pharmaceutical company. As a member of the Alnylam Legal Team, the Counsel, Corporate Legal will be responsible for: (i) drafting and negotiating contracts, including contracts with vendors, academic and research institutions, healthcare providers, manufacturing partners and other engagements common to the pharmaceutical industry; (ii) assisting in developing contract templates and playbooks; (iii) collaborating on the optimization of Ironclad, Alnylam’s newly implemented contract lifecycle management system; (iv) assisting in the development of process improvements to maximize efficiency and automation; (v) advising and training business clients on contracts policy, processes and other compliance requirements; and (vi) general corporate responsibilities. The position offers an exciting opportunity to join an evolving Legal Department supporting a growing global business.

Requirements

  • JD, with admission in good standing to the bar of at least one state.
  • 3-5 years of broad contract negotiation and management experience working at a reputable, highly rated law firm and/or within the legal department of a life science company.
  • Experience utilizing a contract lifecycle management system for managing contracting activity, with Ironclad experience preferred.
  • Experience creating, reviewing and negotiating contracts, establishing standard terms and conditions, and serving as a subject matter expert and point of escalation for questions regarding contract content as well as contract policy and process requirements.
  • Strong communication skills and an ability to interact with multiple stakeholders, including senior management.
  • Knowledge of drug discovery, development, commercialization and regulatory frameworks within the biotechnology and pharmaceutical industries, including with regard to interactions with healthcare professionals.
  • Exceptional written and oral communication skills and the ability to synthesize and present clearly complex issues at all levels within and external to the Company.
  • The ability to build relationships that foster a cohesive, committed team environment and to effectively collaborate with cross-functional teams.
  • Demonstrated success working in a fast-paced, dynamic, and proactive culture with complexity and ambiguity and ability to maintain professionalism under pressure.
  • Self-starter mindset with ability to handle multiple matters simultaneously; adept at adjusting priorities when required.
  • Demonstrated ability to achieve results with a broad perspective and strong business acumen.

Responsibilities

  • Draft, negotiate, and advise clients on contractual matters to support Alnylam’s global business.
  • Serve as a Legal point of contact with clients and support training at all levels, across multiple functions and geographies, and at a high level of responsiveness and customer service.
  • Interact closely with the Legal team, cross-functional partners and Alnylam clients to understand business requirements and implement alternative and innovative approaches that are consistent with management priorities and Alnylam's legal and business policies and procedures.
  • Provide pragmatic and timely counsel to support business operations.
  • Review and improve contract templates with a focus on simplification, regulatory/policy compliance, patient and customer centricity, and collaborate across Alnylam to develop “playbooks” that define key contract clauses, preferred positions, acceptable fallback positions, and walkaway positions.
  • Partner with Legal Operations and other members of the Legal team to enhance and create new contracting workflows in Ironclad, seeking to increase the ease of the overall contracting process, as well as the ability to provide self-service opportunities where appropriate.
  • Identify and assist in the implementation of technology improvements, including the potential for AI, to continually improve contracting efficiency and productivity.
