About The Position

A nationally recognized AmLaw 100 firm is seeking a Private Funds & Investment Services Associate Attorney to join its Chicago office. This opportunity is ideal for an attorney interested in representing private investment funds, investment advisers, institutional investors, sponsors, and asset managers on sophisticated fund formation, securities, regulatory, and investment management matters.

Requirements

  • 3-5 years of corporate or securities law experience gained at a sophisticated law firm
  • Experience drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, investment management agreements, side letters, and other fund-related documentation.
  • Experience conducting legal due diligence and supporting sophisticated corporate and investment transactions.
  • Strong drafting, analytical, negotiation, and client counseling skills.
  • Ability to independently manage matters while working closely with clients and senior attorneys.
  • Excellent academic credentials.
  • J.D. from an ABA-accredited law school required.
  • Illinois bar admission required or ability to become admitted.

Nice To Haves

  • Experience representing private investment funds, investment advisers, sponsors, institutional investors, or asset managers is preferred.
  • Experience with private fund formation, investment management, securities offerings, and corporate transactions.
  • Experience advising clients on Investment Advisers Act, Investment Company Act, Securities Act, Securities Exchange Act, and other federal securities laws is a plus.

Responsibilities

  • Representing private investment funds, investment advisers, institutional investors, sponsors, and asset managers on sophisticated fund formation, securities, regulatory, and investment management matters.
  • Advising clients on Investment Advisers Act, Investment Company Act, Securities Act, Securities Exchange Act, and other federal securities laws.
  • Conducting legal due diligence and supporting sophisticated corporate and investment transactions.
  • Drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, investment management agreements, side letters, and other fund-related documentation.
  • Managing matters independently while working closely with clients and senior attorneys.
