About The Position

Wellington Management is seeking an experienced attorney to join its Private Funds Legal Team to support the ongoing expansion of its private markets business. This global team provides holistic legal support to the firm's growing private capital business. The Counsel will join a team of dynamic lawyers advising business, investment, and operational colleagues on a range of transactional, regulatory, and strategic matters. The individual will primarily focus on supporting the strategic development, formation, and ongoing lifecycle of private credit and/or private equity funds, co-investment programs, evergreen strategies, and related vehicles. The Counsel will also collaborate closely with other team members and cross-functional colleagues to advise on legal and regulatory developments, new business initiatives, and strategic projects.

Requirements

  • 8+ years of experience practicing law at a national law firm or in-house.
  • Experience with private fund formation, investment adviser regulation, and federal securities laws.
  • Strong counseling skills and judgment, adept at balancing risks and commercial objectives.
  • Excellent communication, relationship, and influence skills, able to distill complex topics for varied audiences.
  • Strong organizational skills, comfortable prioritizing and managing competing deadlines in a fast-paced environment.
  • Demonstrated analytical and problem-solving capabilities, able to proactively identify risks and areas for improvement and drive pragmatic solutions.
  • Ability to work independently and collaboratively in a team-oriented, global, and cross-functional environment.
  • Growth mindset and intellectual curiosity, open to learning new practice skills and developing new subject matter expertise as needed.
  • Desire to help develop and grow contributions of early career professionals in the team.

Responsibilities

  • Advise on the formation, operation, and governance of private credit, private equity/venture capital funds, and evergreen strategies, whether domiciled in the US, Cayman, or Europe.
  • Counsel business, operational, and investment colleagues on a wide range of activities and initiatives, including platform-level design and growth.
  • Represent the firm in negotiations with fund investors and strategic service providers.
  • Manage and collaborate with external counsel and alternative providers.
  • Monitor and advise on legal, regulatory, and market developments impacting our funds and business.
  • Lead or contribute to team projects to enhance and grow the scalability of our fund lifecycle support model.
  • Advise and collaborate with compliance partners to develop or update risk-based policies and controls.
