About The Position
The Private Funds and Investment Management Paralegal will support attorneys throughout the full lifecycle of private equity, hedge, or venture capital funds. This includes fund formation, investor onboarding, regulatory compliance, and transaction management. The role requires a strong academic record with a GPA of 3.4 or higher.
Requirements
- 4 years of corporate paralegal experience, specifically within private funds or investment management.
- Bachelor’s degree required.
- Strong attention to detail.
- Proficiency in Microsoft Office and document management systems (e.g., DocuSign).
- Experience with SEC/Blue Sky regulations.
- GPA of 3.4 or higher.
Nice To Haves
- ABA-approved paralegal certificate is preferred.
Responsibilities
- Assisting with entity formation, drafting governing documents, maintaining corporate records, and preparing subscription agreements for investors.
- Preparing and filing SEC documents (e.g., Form D, Form ADV) and Blue Sky filings.
- Coordinating closing processes, managing investor subscription documents (KYC/AML), and handling side letters.
- Maintaining fund status charts, tracking deliverables, and managing data rooms.
