About The Position

The Prime Services Negotiator Vice President will be responsible for drafting, negotiating, and executing capital markets contract documentation to support the Prime Services and Prime Derivative Services businesses. This role involves showcasing knowledge in drafting, negotiating, and executing prime services agreements (including Futures agreements, OTC clearing agreements, and ISDA master agreements, repurchase agreements, and stock lending agreements), and providing high-quality service to multi-faceted and high-caliber clients. The position requires overseeing and managing transactional processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate documentation for financial transactions. This includes coordinating with internal and external stakeholders, creating, reviewing, and managing legal documents, providing transaction support, and developing and implementing transaction processes and procedures. The role also involves proactive identification and communication of legal advice on applicable laws, rules, and regulations (LRRs), and staying updated on changes to these regulations. Vice President expectations include contributing to strategy, driving requirements, making recommendations for change, planning resources, budgets, and policies, managing policies and processes, delivering continuous improvements, and escalating breaches. If managing a team, responsibilities include defining jobs, planning for future needs, counselling employees, and contributing to pay decisions. For an individual contributor, the role requires being a subject matter expert, guiding technical direction, leading collaborative assignments, and training less experienced specialists. The role also involves advising key stakeholders, managing and mitigating risks, demonstrating leadership in risk management and controls, understanding organizational functions, collaborating with other business areas, creating solutions through sophisticated analytical thought, adopting research outcomes, and building trusting relationships with stakeholders.

Requirements

  • Experience with the suite of prime services agreements
  • Experience drafting, negotiating, and executing of capital markets contract documentation
  • Experience with Prime Brokerage, Futures, repurchase agreements, stock lending agreements, and related financing businesses
  • Demonstrate comprehensive understanding of the organisation functions to contribute to achieving the goals of the business.
  • Collaborate with other areas of work, for business aligned support areas to keep up to speed with business activity and the business strategies.
  • Create solutions based on sophisticated analytical thought comparing and selecting complex alternatives.

Responsibilities

  • Oversee and manage transactional processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate documentation for financial transactions.
  • Ensure that Transaction Services and Documentation activities are conducted in compliance with applicable laws and regulations, and help the bank manage legal and reputational risks.
  • Coordinate with internal and external stakeholders, including legal counsel, credit risk management, and other departments, to ensure that transactions are executed in a timely and efficient manner.
  • Create, review, negotiate, and manage legal documents such as loan agreements, security documents, and other transactional documents.
  • Provide transaction support, including preparation of transaction summaries, conducting due diligence, and support to other departments as needed.
  • Develop and implement transaction processes and procedures to ensure that transactions are executed consistently.
  • Pro-actively identify, communicate, and provide legal advice on applicable laws, rules, and regulations (LRRs), keeping up to date with changes and ensuring LRRs are reflected within policies, standards, and controls.
  • Contribute or set strategy, drive requirements, and make recommendations for change.
  • Plan resources, budgets, and policies; manage and maintain policies/ processes; deliver continuous improvements and escalate breaches of policies/procedures.
  • If managing a team: define jobs and responsibilities, plan for the department’s future needs and operations, counsel employees on performance, and contribute to employee pay decisions/changes. Lead specialists to influence department operations, aligning with strategic and tactical priorities, balancing short and long-term goals, and ensuring budgets and schedules meet corporate requirements.
