About The Position

Asure is seeking a Paralegal to join our on-site team in downtown Austin, TX. This role will support the Legal Department and business teams by reviewing and drafting various commercial contracts, assisting with corporate governance, managing corporate records, and providing general administrative support to Corporate Counsel. The ideal candidate will have strong project management skills, excellent communication abilities, and the capacity to work independently and collaboratively.

Requirements

  • 3 + years working with an in-house legal department or law firm.
  • Strong project management skills and extremely detail oriented.
  • Excellent command of written and verbal communication as well as strong negotiation skills.
  • Ability to work independently, handle multiple projects, and prioritize and meet deadlines.
  • Cross collaborates across legal and business functions.
  • Associate's degree required.

Responsibilities

  • Review commercial contracts such as NDAs, MSAs, amendments, and other agreements.
  • Draft, review, and revise initial drafts of sales and marketing agreements, site operating agreements, technology contracts, real estate leases, and other agreements that may be assigned from time to time.
  • Act as a liaison between internal business partners, legal department, and external vendors as necessary for contract drafting, negotiations, processes, and inquiries; ensure fully executed contracts are properly entered into the contracts management system and update information, as required.
  • Assist with corporate governance and entity management function for all corporate entities globally under guidance from the Corporate Counsel.
  • Provide support for Board of Directors Management.
  • Support the Legal Department and business teams, as needed, on legal matters, special projects, project management, and document management; attend and participate in meetings as needed.
  • Maintain corporate records and filings and manage retention of electronic documents.
  • Provide general administrative support to the Corporate Counsel.
  • Assist in-house counsel in the management of litigation matters, including subpoena responses, position statements, and other legal documents.
  • Assist with administration of Corporate Compliance training programs.
  • Draft and revise company compliance policies.
