About The Position

Under the direction of the General Counsel, the Paralegal & Legal Compliance Specialist is responsible for researching law, investigating facts, preparing documents and overseeing incorporation and legal compliance of entities. The salary range for this position is $92,707-$114,493 per year. Requirements

  • Bachelor's degree or equivalent in any subject; or an Associate degree in any subject and a paralegal certificate
  • Relevant experience may be substituted for education on a 1:1 basis
  • Five (5) years of experience as a paralegal
  • Five (5) years of experience in legal compliance
  • Registration as a Notary for the State of Alaska
  • Strong organization, including both document organization and exceptional time management
  • Ability to work under limited supervision and take initiative
  • Ability to rapidly task switch
  • Ability to manage multiple projects
  • Strong attention to detail
  • Proficient research and investigative skills
  • Advanced proficiency with Microsoft Office and Adobe Acrobat products, database and litigation support software, and legal research software
  • Proficient oral and written communication skills with the ability to interact effectively with internal and external stakeholders

Nice To Haves

  • Three (3) years of experience working in Alaska Native Corporation
  • Experience and knowledge of Alaska Native cultures
  • Experience with and knowledge of legal forms and issues surrounding corporate formations and transactions, probate and estates, and employment and labor

Responsibilities

  • Maintains books, records, and files, including corporate books for all of the companies in the Ahtna Family of Companies and legal files.
  • Maintains communication with the Legal Department's clients and outside entities, including performing primary intake.
  • Manages Agents for Service of Process and state compliance filings, including periodic corporate reports, foreign company registrations, business licensing, and maintenance of professional licenses nationally and OCONUS.
  • Performs compliance investigations and prepares compliance reports.
  • Maintains the corporate document retention and destruction procedures and practices, monitors compliance with same, and reports.
  • Under the guidance of an attorney, researches and analyzes law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes.
  • Drafts and prepares correspondence and legal documents such as initial and amended articles of organization or incorporation, operating agreements or bylaws, stock certificates and other securities, buy-sell agreements, closing papers and binders, and deeds for review, approval, and use by attorney.
  • Preserves (by issuing and monitoring compliance with hold letters and memoranda), collects, organizes, formats, and prepares documents and things, particularly electronically stored information, for use in investigations and litigation.
  • Locates and interviews witnesses, conducts investigations and documentary research.
  • Files and serves pleadings and motion practice.
  • Provides notarial services to the Ahtna Family of Companies and shareholders.
  • Form new business entities in Alaska
  • Draft and file Articles of Incorporation/Articles of Organization and Articles of Amendment
  • Draft and file initial Biennial Reports
  • Draft and revise Bylaws and Operating Agreements
  • Apply for FEINs
  • Inform stakeholders (subsidiary presidents/staff, risk, finance, HR, communications and Corporate Security & Compliance Officer)
  • Register Alaska subsidiaries as foreign entities in other U.S. jurisdictions
  • Obtain/facilitate licensing
  • Apply for state business licensing in Alaska and other jurisdictions
  • Assist subsidiaries with local govt. business licensing in Alaska and other jurisdictions
  • Apply for contractor licensing in Alaska (if applicable), facilitate insurance/bonding
  • Assist subsidiaries with specialty licensing (e.g. security licensing, DOT/MC registration)
  • Monitor and ensure compliance with entity reporting obligations in Alaska and other jurisdictions
  • Monitoring all corporate annual filings
  • Assist with and facilitate annual and special meetings of Ahtna and subsidiaries, including drafting resolutions (banking authorities, FCL, exclusion resolutions for 8(a) companies, approvals for major transactions, etc.)
  • Monitor SOPs
  • Calendar response deadlines and monitor compliance
  • Facilitate responses to records subpoenas
  • Draft and file documents to dissolve entities/terminate registration when appropriate
  • Other duties as assigned.
