About The Position

Brookfield Infrastructure Group is one of Brookfield’s primary operating groups. The Infrastructure Group is one of the world’s largest infrastructure investors, owning and operating critical assets across the transport, utilities, energy, and data infrastructure sectors. The Group operates and manages approximately $262 billion of assets owned through its private funds and publicly listed entity, Brookfield Infrastructure Partners. Our portfolio of assets facilitate the movement and storage of energy, water, freight, passengers and data, and are located in North and South America, Europe and the Asia Pacific regions. Brookfield is looking for a motivated individual with corporate legal experience to work on the Legal & Regulatory team. This position is located in our New York office.

Requirements

  • Minimum of 8 years corporate paralegal/legal analyst experience
  • This role will be suitable for someone who is comfortable operating with a high degree of autonomy and building new approaches where limited precedent exists
  • Exceptional attention to detail
  • Excellent interpersonal, verbal and written communication skills
  • Proficiency in Microsoft Office
  • Strong organizational skills
  • Exceptional interpersonal skills, highly team-oriented and a commitment to professionalism
  • Ability to interact comfortably with executives and senior management
  • Proficiency in using a corporate database
  • Must be able to manage numerous projects simultaneously under deadline pressure

Nice To Haves

  • Notary public is a plus
  • Familiarity with private fund structures and in-house experience is a plus

Responsibilities

  • Maintain corporate records and minute books in Diligent database, registers, related documents and complete semi-annual attestation
  • Assist with entity formations, dissolutions, corporate change documentation and transactions
  • Preparing organizational resolutions, bylaws, operating agreements and other constating documents
  • Prepare and file annual returns, state registrations, and required regulatory documents with government bodies
  • Draft, review, and organize standard NDAs, engagement letters, and related agreements
  • Document flow of funds, including capital contributions, dividends, returns of capital and distributions, document transfers of interests; includes frequent laising with finance and tax teams
  • Assist in preparing board meeting materials for private companies, including the preparation of notices, agendas, resolutions, and board minutes
  • Develop and document legal processes and procedures to enable greater efficiencies within the Legal & Regulatory Team
  • Coordinate with external legal counsel, financial institutions, and internal business teams to triage and process legal requests
  • Occasional travel to Toronto is expected
