Reporting to the Manager, Corporate and Securities Law & Assistant Corporate Secretary and working closely with other members of the Legal Department in Montreal and around the world, the Paralegal, Corporate will: In accordance with CAE's Corporate Policies & Procedures: Maintain the corporate records (hard copy and electronic) of CAE and its subsidiaries, including drafting resolutions and other corporate documents, and responding to information requests from various business units. Support the formation of new corporate entities and implementation of corporate reorganizations (e.g. amalgamations, continuances, dissolutions). Prepare/review and manage corporate filings (e.g. annual filings and declarations, extra-provincial filings, trade name registrations), powers of attorney and notarization/apostille of various documents, as needed. Support tax, treasury, and human resources teams with various corporate actions and transactions, including acquisitions/dispositions, declarations of dividends, capital injections, and stock-based employee compensation plans. Participate in the preparation of materials for meetings of the Board of Directors and its committees, and for the annual shareholders’ meeting. Participate in the management of the different filings to be made with Canadian and U.S. securities regulators and with the TSX and NYSE to ensure compliance with continuous disclosure requirements (including quarterly reports, press releases, annual reports, insider reporting, material change reports, and other regulatory filings).
