About The Position

Our firm seeks a highly motivated entry-level Paralegal Clerk to support its Corporate & Finance practice. This position is ideal for a recent college graduate with strong academic credentials who is interested in developing practical experience in sophisticated commercial transactions within a collaborative, global law firm environment. The Paralegal Clerk will work closely with attorneys and senior paralegals on domestic and cross-border matters, including mergers and acquisitions, corporate governance, and commercial real estate transactions. No prior legal experience is required, as comprehensive training and ongoing support will be provided.

  • Willingness to work overtime, including evenings and weekends, as necessary to support transaction timelines and client needs.
  • Bachelor’s degree required or equivalent combination of education and work experience.
  • One (1) year of professional work experience preferred or comparable internship experience.
  • Core hours are Monday through Friday, 9:00 a.m. to 6:00 p.m., with the willingness to work additional hours as needed.

  • Prior office experience and potential interest in future law school attendance preferred.

Responsibilities

  • Provide support to attorneys and senior paralegals on corporate and commercial real estate transactions, including mergers and acquisitions, entity formations, acquisitions, dispositions, and financings.
  • Prepare, organize, and maintain transaction documents, signature packets, closing binders, and closing checklists.
  • Track transaction timelines and deadlines.
  • Assist with due diligence and draft routine corporate documents, including UCC filings, certificates, resolutions, and organizational charts under attorney supervision.
  • Coordinate state and regulatory filings and maintain corporate and transactional records.
  • Prepare closing binders and assist with post-closing documentation and deliveries.
  • Maintain electronic and physical files in accordance with firm policies and procedures.
  • Communicate professionally with internal teams and external service providers.
  • All members of the firm are encouraged to participate in our Responsible Business program.
  • Meet the minimum requirement of 1,650 annual billable hours.
  • Other duties as assigned.
