About The Position

We have an opening for a Mid-Level Corporate Paralegal whose experience is focused in Startups, Capital Markets and Mergers & Acquisitions. This position can be based in any of our U.S. offices. This position offers a hybrid schedule and requires three days onsite per week at your designated office with the possibility of additional required in-office days depending on business and client needs. The work schedule for this position will be 37.5 hours per week (non-exempt), Monday - Friday, from 9:00 am - 5:30 pm.

Requirements

  • Experience in capitalization maintenance platforms such as Carta and ShareWorks.
  • Exemplary communication, research and organizational skills.
  • Comfort working alongside AI tools and a curiosity to continuously learn and adopt new ways of working as technology evolves.
  • The ability to multi-task in a highly demanding, deadline driven environment.
  • Substantial experience with Excel spreadsheets.
  • A four-year degree and/or a paralegal certificate from an ABA-approved program.
  • 3+ years of corporate and transactional experience.

Nice To Haves

  • Experience working in a large corporate setting or law firm preferred.
  • Merges & Acquisitions (preferred): Collecting due diligence documents and organizing electronic data sites, performing diligence research and capitalization due diligence, coordinating shareholder mailings and regulatory filings, drafting and managing signing and closing documents, and preparing closing volumes.

Responsibilities

  • Incorporating technology and life sciences companies, corporate records management, stock option plan implementation and administration, venture capital financings, blue sky research, Carta and Shareworks equity management.
  • Experience in IPO and public company matters, including registration statement numerical backup spreadsheets, beneficial ownership tables, '34 act, Section 16 reporting, Rule 144 and legend removal letters, transfer agent onboarding, stock exchange applications, FINRA filings, selling stockholder matters, closing documents, closing volumes and board resolutions and minutes.
  • Collecting due diligence documents and organizing electronic data sites, performing diligence research and capitalization due diligence, coordinating shareholder mailings and regulatory filings, drafting and managing signing and closing documents, and preparing closing volumes.
