Requirements
- Over 6+ years of transactional experience reviewing various financial transaction agreements, primarily ISDA/CSAs, trade confirmations and prime brokerage agreements
- Product knowledge and transactional or regulatory experience within the OTC derivatives and swap dealer businesses.
- Experience traditional financial markets, preferable experience at a sell side bank supporting derivative desks
- Ability to work well in fast-paced business and evolving legal environment and to manage multiple projects simultaneously;
- Highly motivated, self-starter who takes initiative;
- Positive attitude, and willingness to roll up sleeves (no job too big, no job too small);
- Ability to think creatively and propose commercially pragmatic solutions;
- Collaborative team member with a high level of professionalism and business judgment;
- Excellent written and oral communication skills;
- Active membership in the NY state bar.
Nice To Haves
- Knowledge of the regulatory treatment of digital assets
- Ability to negotiate, and document various technology agreements, procurement and vendor contracts, which includes agreements pertaining to software (on prem and SaaS/cloud), outsourcing, hardware, systems, facilities, and professional/consulting services; and various other vendor commercial agreements to support services integral to the Galaxy ecosystem
- Minimum of 2+ years at a top tier law firm
Responsibilities
- Act as a strategic legal advisor for Galaxy with respect to ISDA/CSAs, confirms, prime brokerage agreements, lending and vendor transactions;
- Advisor on swap dealer related rules
- Focus on negotiating documentation with hedge funds, crypto native firms, investment companies, individuals, miners and other institutional clients
- Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate;
- Collaborate with other functional partners and businesses to ensure appropriate awareness and escalation of issues;
- Assisting with implementing global regulatory and market changes affecting trading and documentation
- Draft and negotiate non-disclosure agreements;
- Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy; and
- Help with other special projects and such other activities as may be assigned.
