About The Position

The Managing Counsel – Corporate is a senior member of the Legal Department, providing practical and business-oriented legal advice on corporate, commercial, and strategic initiatives. This role serves as lead legal advisor for complex transactions, corporate governance, finance, technology, and other enterprise-level matters. The Managing Counsel partners closely with executive leadership and business clients to manage legal risk, facilitate business objectives, and develop legal strategies that support the Company’s long-term goals. The ideal candidate for this position exercises substantial independent judgment and serves as a trusted advisor on high-impact legal and business issues.

Requirements

  • Successful completion of Juris Doctor (JD) program from an ABA-accredited U.S. law school.
  • Admission to practice and active membership in good standing in at least one U.S. jurisdiction.
  • California State Bar or eligibility to register as California Registered In-House Counsel under California Rule of Court 9.46 strongly preferred.
  • Minimum 10 years of progressively responsible legal experience, including substantial experience handling sophisticated corporate and commercial transactions in a nationally recognized law firm and/or in-house legal department.
  • Demonstrated track record of successfully presenting legal advice and recommendations to senior management and executive leadership.
  • Experience operating independently, managing outside counsel effectively, and overseeing high-visibility, complex legal matters from start to finish.
  • Proficiency in legal research tools, contract management systems, and other legal technologies.
  • Advanced knowledge of commercial contracting principles and complex transaction structuring.
  • Working knowledge of corporate governance, corporate finance, technology transactions, privacy laws, and regulatory compliance applicable to manufacturing, R&D, logistics and distribution businesses.
  • Understanding of enterprise risk management principles and practical approaches to balancing legal risk with business objectives.
  • Familiarity with legal operations and emerging legal technologies.
  • Excellent verbal and written communication skills, including the ability to communicate complex legal issues to executives, business leaders, and other non-legal colleagues in a practical, risk-assessed, business-forward manner in furtherance of company goals.
  • Exceptional negotiation and drafting skills involving sophisticated commercial agreements and corporate transactions.
  • Strong analytical skills and sound business and legal judgment, with the ability to identify legal risks and develop practical business solutions.
  • Ability to work well independently and as part of a team and to lead complex legal matters involving multiple business functions and competing priorities.
  • Ability to establish credibility and influence at all levels of the organization through collaboration, professionalism, and sound judgment.
  • Demonstrated project management skills, including coordinating cross-functional teams, outside counsel, and multiple stakeholders.
  • Proficiency with legal technology and AI-enabled tools, with appropriate attention to confidentiality, accuracy, and ethical use.
  • Excellent organizational skills with the ability to manage numerous high-priority matters and a high-volume workload simultaneously and experience designing scalable contracting solutions.
  • The employee must be able to access, enter, and retrieve data using a computer.
  • This is primarily a sedentary position in a controlled office environment which requires only occasional reaching, stooping, and lifting of office files, reports, or records, typically weighing 5 lbs. or less.

Responsibilities

  • Leads complex commercial and strategic transactions.
  • Counsels on finance, technology, AI, cybersecurity, data, and digital initiatives.
  • Advises on corporate governance, entity management, internal approvals, and board matters.
  • Provides strategic legal advice to executive leadership on significant business initiatives and enterprise risk.
  • Develops legal policies, templates, compliance initiatives, and process improvements.
  • Performs miscellaneous job-related duties as assigned.
