About The Position

EY Capital Advisors is seeking an Investment Banking Manager for their Equity Capital Markets team. This role involves helping clients prepare for and execute critical capital raising transactions, including follow-on equity and convertible debt offerings, and structured private capital raises. The position requires the ability to perform advanced technical analysis, evaluate precedent transaction data for pricing, fees, and syndicate structures, and present findings. Responsibilities include processing data, messaging, forming preliminary recommendations, and thoroughly reviewing transaction documents with suggested edits. The role also involves advising clients on strategic alternatives, capital markets, and corporate finance solutions, researching and analyzing precedent transactions, and providing analysis for C-suite executives. Key tasks include fine-tuning equity stories, investor messaging, evaluating projection models, syndicate strategy, fee analysis, providing perspectives on document provisions, valuation, marketing, pricing, and general project management. The role also requires managing and motivating junior teams and teaching/training junior bankers.

Requirements

  • Bachelor’s degree in Business, Economics, Finance and 5 years of progressive, post-baccalaureate related work experience.
  • At least 5 years of experience with one or a combination of experience in capital markets and/or investment banking experience.
  • At least 2 years of experience performing analysis around equity, equity-linked and equity derivative financing alternatives and transactions.
  • At least 2 years of experience with advising clients on strategic alternatives, capital markets, and corporate finance solutions.
  • At least 1 year of experience managing junior staff members and overseeing their work-product.
  • At least 1 year of experience with presenting to senior banking representatives.
  • Must have or be eligible to obtain within one year of hire a SIE, Series 7 or 79 and a Series 63 license and be in good standing.
  • Requires domestic travel of up to 10% to meet client needs.

Responsibilities

  • Help clients prepare for and execute critical capital raising transactions including follow-on equity and convertible debt offerings, and structured private capital raises.
  • Perform advanced technical analysis that is presented to clients as they consider financing structures and alternatives.
  • Run and evaluate precedent transaction data to analyze pricing, fees, and syndicate structures, and present those findings.
  • Process the data, messaging, and form preliminary recommendations.
  • Thoroughly review transaction documents and provide suggested edits.
  • Advise clients on strategic alternatives, capital markets, and corporate finance solutions.
  • Research, review and analyze precedent transactions and present findings.
  • Provide analysis used to discuss alternatives with C-suite executives seeking informed content ahead of negotiations or key decisions.
  • Help clients prepare for their capital markets transactions including: fine-tuning the equity story / investor messaging, evaluating projection models, syndicate strategy and structure, precedent fee analysis, providing independent perspectives on key document provisions, valuation, marketing and pricing, and general project management.
  • Manage and motivate junior teams.
  • Teach/train junior bankers in areas of expertise.
