About The Position

The CAST (Corporate and Strategic Transactions) team within Capital One's Legal Department is responsible for executing Capital One's transactional activities. This includes mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions. The team also advises diversified businesses on a broad range of business matters in a dynamic and collegial environment. Requirements

  • Juris Doctor from an accredited law school
  • Active member in good standing of at least one state bar with the ability to register as Corporate Counsel in Virginia
  • At least 3 years of experience as an attorney in a law firm environment, at a government agency, as a military judge advocate, or as in-house counsel, with a focus on transactional matters
  • Proven ability to operate effectively in a complex, highly regulated, and evolving environment
  • Demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels
  • Ability to work in a fast-paced environment with minimal supervision
  • Strong organizational skills with impeccable attention to detail
  • Excellent analytical, verbal and written communication skills
  • Ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries
  • Exceptional drafting and negotiation skills
  • Ability to identify, lead and manage a negotiation team
  • Ability to manage multiple transactions, take on new responsibilities and handle novel issues

Nice To Haves

  • Experience, including drafting and negotiating, as an attorney in a law firm or in-house counsel legal department, across a wide range of commercial transactions, including in-house procurement or supply chain management transactions, and marketing arrangements
  • Experience providing advice and counsel on transactions to clients in the financial services industry
  • Ability and desire to learn new areas of law
  • Experience with Google Workspace

Responsibilities

  • Assisting in managing (including drafting and negotiating) a wide range of transactions including: correspondent banking transactions, intercompany agreements, low-income housing tax credit equity investments, charged-off debt sales and confidentiality agreements
  • Working with complex due diligence reviews, business line partnerships, industry consortiums and other business agreements, marketing agreements, transactions in support of the Company’s digital/mobile initiative, including API licenses, and complex procurement and outsourcing contracts, including with respect to international non-associate labor
  • Counseling and advising business groups, including providing legal advice on complex legal issues
  • Implementing and monitoring repeatable, controlled processes for transactional work
  • When necessary, managing and coordinating outside counsel, including management of the delivery of services and cost
