About The Position

The CAST (Corporate and Strategic Transactions) team within Capital One's Legal Department is responsible for executing Capital One's transactional activities, including mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions. The team also advises on a broad range of business matters in a dynamic and collegial environment. Capital One's Legal Department is highly admired for its bold initiatives, state-of-the-art infrastructure, breadth of talent, and dynamic work environment. CAST, based in McLean and Richmond, VA, fosters authenticity, growth, development, respect, and values individual contributions. The Manager, Counsel role will primarily manage Capital One’s critical procurement contracts and provide advice and counsel to the Enterprise Supplier Management (ESM) team. This hybrid business counsel/transactions counsel role involves managing (drafting and negotiating) procurement transactions for Technology, Card, Retail and Commercial Bank, Auto Finance, Payment Network, Workplace Solutions, Brand, HR, Global Finance, and other business groups. The role requires identifying legal issues and risks in procurement and outsourcing contracts, collaborating with legal stakeholders on terms and conditions, understanding and advising on internal guidelines, building relationships with ESM and legal stakeholders, managing repeatable processes for transactional work, coordinating and managing outside counsel (including service delivery and cost), creating reports, discussing trends/metrics with senior leaders, and providing training on key issues and processes. The role also includes acting as a backup Legal representative in procurement risk gate meetings, exercising judgment on legal engagement scope, and delegating/managing assignments to backup attorneys.

Requirements

  • Juris Doctor from an accredited law school
  • Active member in good standing of at least one state bar
  • At least 3 years of experience as an attorney in a law firm, government or an in-house legal department, or a combination, including experience with third party procurement, vendor or outsourcing transactions
  • Proven ability to operate effectively in a complex, highly regulated, and evolving environment
  • Demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels
  • Ability to work in a fast-paced environment with minimal supervision
  • Strong organizational skills with impeccable attention to detail
  • Excellent analytical, verbal and written communication skills

  • 4+ years of combined experience as an attorney in a law firm or in-house counsel legal department with a focus on third party procurement, vendor or outsourcing transactions

Responsibilities

  • Managing (including drafting and negotiating) procurement transactions that support Technology, Card, Retail and Commercial Bank, Auto Finance, Payment Network, Workplace Solutions, Brand, HR, Global Finance, and other lines of business and functional groups
  • Identifying legal issues and risks in procurement and outsourcing contracts and working with a variety of legal stakeholders to draft appropriate terms and conditions
  • Understanding and advising on internal guidelines and procedures
  • Building and maintaining strong relationships with ESM and legal stakeholders
  • Managing repeatable, controlled processes for transactional work when necessary
  • Managing and coordinating outside counsel, including management of the delivery of services and cost
  • Creating reports, discussing trends/metrics with senior leaders in Legal and ESM, and creating and providing training on key issues and processes, as needed
  • Acting as a backup Legal representative as needed in procurement risk gate meetings, exercising great judgment in determining whether a transaction is in scope for Legal engagement
  • Delegating/managing assignments to team of backup attorneys as needed
