About The Position

Syensqo is seeking to reinforce its M&A team with M&A Managers who will report to the Head of M&A. The role requires experience in leading transactions end-to-end, with a background in advisory and corporate development, ideally from within the chemical industry or a closely aligned manufacturing sector. The M&A Manager will be responsible for acquisition, divestment, and joint-venture projects from initiation through signing and closing. This includes business modeling, financial evaluation, overall project coordination, preparation of various project deliverables, and coordination of external advisors and internal stakeholders. Close collaboration with legal counsel on all transaction aspects, including negotiation, is expected. The role involves presenting recommendations to senior management.

Requirements

  • Master Degree in General Management, Business Administration or Law, with an additional degree in Finance and Accounting.
  • Professional expertise in equity-related operations (mergers, acquisitions, divestments, and joint-venture projects).
  • Minimum of 6 years of successful experience gained within (i) a corporate M&A team of an industrial company (ideally in the chemicals industry, or at least manufacturing), and/or (ii) a transaction services team of a recognized audit firm, and/or (iii) an investment banking desk of a leading banking institution.
  • Strong M&A experience, gained within a dedicated M&A environment.
  • Exceptional communication and influence skills, developed through advisory, stakeholder management, and delivering presentations at a high level.
  • True team player, collaborative and able to work in multidisciplinary and multicultural teams.
  • Well-organized, structured, and possess strong project management skills.

Responsibilities

  • Manage acquisition, divestment, and joint-venture projects from project launch until signing and closing.
  • Perform business modeling and financial evaluation of companies for M&A, divestment, and joint-venture projects.
  • Provide overall coordination of the project team throughout the project lifecycle, including team setup, timeline management, animation, and monitoring.
  • Prepare, supervise, and review various internal and external deliverables such as Teaser, Information Memorandum, Business Plan, Deal Structuring Plan, Carve-Out Matters, VDD, Virtual Data Room preparation and review, and review of SPA and Ancillary Agreements.
  • Identify and coordinate external advisors including investment banks, M&A boutiques, strategy consultants, transaction services consultants, and tax advisors.
  • Coordinate all internal stakeholders throughout the project, including business teams, finance teams, and representatives from various corporate functions and shared services centers (tax, treasury, accounting, environmental).
  • Collaborate closely with M&A, Antitrust, and Trademark Corporate Counsel on all legal aspects of the transaction.
  • Participate in the entire negotiation process for transactions under their responsibility.
  • Present recommendations to the senior management of the Group.
