About The Position

The Litigation & Employment Counsel is responsible for providing general legal support to the Holding Company and the Bank, focused in the areas of litigation, labor and employment matters. Reporting to the General Counsel, this position will support the Company’s established business goals and objectives by providing strategic advice and counsel to relevant business units, notably the Human Resources Department; providing accurate legal research and regulatory updates to relevant lines of business; providing counseling and education related to employment matters; conducting internal employment related investigations; ensuring established policies and procedures comply with all applicable rules and regulations; overseeing the legal process function; and providing administrative support to the Legal Department, as assigned. Ensures compliance with established Company policies and procedures. Demonstrates knowledge of, adherence to, monitoring and responsibility for compliance with state and federal regulations and laws as they pertain to this position including but not limited to the following: Regulation Z (Truth in Lending Act), Regulation B (Equal Credit Opportunity Act), Home Mortgage Disclosure Act, Real Estate Settlement Procedures Act, Fair Credit Reporting Act, Bank Secrecy Act in conjunction with the USA PATRIOT Act, Anti-Money Laundering and Customer Information Program, Right to Financial Privacy Act (state and federal) and Community Reinvestment Act.

Requirements

  • Juris Doctorate (J.D.) from an accredited institution required.
  • At least three (3) years of work related experience either in-house at a public company or law firm experience advising public companies preferred.
  • Active license to practice law from a U.S. jurisdiction required; membership in the California Bar or registration as Registered In House Counsel preferred.
  • Intermediate skills in computer terminal and personal computer operation; mainframe computer system; word processing and spreadsheet software programs.
  • Intermediate math skills; ability to calculate interest, commissions, proportions, and percentages; balance accounts; add, subtract, multiply and divide in all units of measure, using whole numbers, common fractions and decimals; locate routine mathematical errors; compute rate, ratio and percent, including the drafting and interpretation of bar graphs.
  • Exceptional verbal, written and interpersonal communication skills, with the ability to apply common sense to carry out instructions and instruct others, train personnel, write reports, correspondence and procedures, and speak clearly to customers and employees.
  • Ability to deal with complex problems involving multiple facets and variables in non-standardized situations.
  • Ability to work with little supervision while performing duties.

Responsibilities

  • Provides legal research support to the Legal Department.
  • Serves as a legal advisor to Human Resources on employee relations matters, including discipline, terminations, accommodations, leaves of absence, and performance management, ensuring compliance and risk mitigation.
  • Provides guidance on employment law compliance, including wage and hour matters, employee classification, and evolving federal, state, and local legal requirements.
  • Leads workplace investigations in conjunction with HR and partners on responses to agency charges, audits, and complaints, including drafting position statements and assessing legal risk.
  • Provides advice to various internal bank departments as required.
  • Partners with HR and Corporate Learning & development to develop and deliver training and practical guidance for management on employment law developments, risk prevention, and best practices.
  • Oversees the Legal Process function and provides guidance to Legal Process staff.
  • Oversees litigation and discovery, as assigned by General Counsel.
  • Supports the Company's merger and acquisition and corporate finance activities.
