About The Position

Reporting to the Assistant General Counsel and Director, Legal Affairs, Counsel provides legal advice on healthcare regulations, privacy, and commercial transactional matters affecting a large integrated health system. The position serves as a trusted advisor to business and operational leaders, structuring and negotiating a broad range of commercial, clinical, and operational agreements while ensuring compliance with applicable federal and state healthcare laws and privacy requirements. The role has particular responsibility for advising on healthcare privacy, data governance, information sharing, interoperability, and regulatory issues arising in connection with commercial transactions, digital health initiatives, and enterprise operations. This position will support technology-related transactions, however, many other files include privacy obligations which need to be addressed.

Requirements

  • Legal advice on healthcare regulations, privacy, and commercial transactional matters.
  • Serve as a trusted advisor to business and operational leaders.
  • Structure, draft, review, negotiate, and advise on a broad range of commercial, clinical, and operational agreements.
  • Ensure compliance with applicable federal and state healthcare laws and privacy requirements.
  • Advise on healthcare privacy, data governance, information sharing, interoperability, and regulatory issues.
  • Support technology-related transactions.
  • Address privacy obligations.
  • Advise on HIPAA, HITECH, and the New Jersey Data Privacy Act.
  • Advise on information blocking, interoperability requirements, TEFCA, business associate arrangements, data use agreements, health information exchanges, research collaborations, and other data-sharing arrangements.
  • Counsel on data governance, data ownership, permitted uses of data, de-identification, secondary use of data, information sharing, and contractual protections for PHI, PII, and other sensitive information.
  • Monitor and interpret evolving federal and state healthcare, privacy, and digital health regulations.
  • Draft, review, negotiate, and interpret commercial agreements including professional services agreements, physician and provider arrangements, purchasing and supply chain contracts, consulting agreements, confidentiality agreements, technology and software agreements, revenue-generating partnerships, and other operational contracts.
  • Support enterprise technology and digital health transactions, including SaaS, cloud services, software licensing, AI-enabled services, and data analytics.
  • Address regulatory compliance, privacy, information governance, and risk allocation in technology transactions.
  • Partner with Information Security, Privacy, Compliance, and business leaders.
  • Ensure agreements address cybersecurity, vendor risk management, incident response, regulatory requirements, and contractual protections for sensitive information.
  • Advise executives and operational leaders regarding contractual rights and obligations, dispute resolution, risk mitigation, and contract interpretation.

Responsibilities

  • Structure, draft, review, negotiate, and advise on a broad range of commercial agreements, ensuring compliance with applicable healthcare laws, privacy requirements, and organizational policies.
  • Serve as legal counsel on healthcare regulatory and privacy issues (ex: HIPAA, HITECH, the New Jersey Data Privacy Act) arising in connection with commercial transactions, strategic partnerships, clinical initiatives, and operational activities.
  • Advise clients regarding information blocking, interoperability requirements, TEFCA, business associate arrangements, data use agreements, health information exchanges, research collaborations, and other data-sharing arrangements.
  • Counsel business leaders on general contract terms and legal issues involving data governance, data ownership, permitted uses of data, de-identification, secondary use of data, information sharing, and contractual protections for PHI, PII, and other sensitive information.
  • Monitor and interpret evolving federal and state healthcare, privacy, and digital health regulations and provide practical guidance regarding their impact on contracting and operations.
  • Draft, review, negotiate, and interpret a broad range of commercial agreements, including professional services agreements, physician and provider arrangements, purchasing and supply chain contracts, consulting agreements, confidentiality agreements, technology and software agreements, revenue-generating partnerships, and other operational contracts.
  • Support enterprise technology and digital health transactions, including SaaS, cloud services, software licensing, AI-enabled services, and data analytics, with particular emphasis on regulatory compliance, privacy, information governance, and risk allocation.
  • Partner with Information Security, Privacy, Compliance, and business leaders to ensure agreements appropriately address cybersecurity, vendor risk management, incident response, regulatory requirements, and contractual protections for sensitive information.
  • Advise executives and operational leaders regarding contractual rights and obligations, dispute resolution, risk mitigation, and contract interpretation.
