About The Position

DoorDash is seeking a business-minded lawyer to join our team as Legal Counsel, Corporate Securities. This role will report to the senior corporate securities counsel at the company. You will ensure compliance with securities laws, rules, and regulations, and Nasdaq listing requirements. You will provide legal oversight of the company’s public disclosures, including 10-Ks, 10-Qs, 8-Ks, earnings calls, investor relations-related disclosures, and corporate press releases. You will support the administration of the Company’s equity programs, including preclearance processes, corporate and insider 10b5-1 plans, insider trading compliance, dual-class stock matters, and Form S-8 and Section 16 filings. You will also support processes related to quarterly and ad hoc Board and Committee meetings, and ensure corporate governance best practices. Additionally, you will manage the planning and execution of the annual stockholder meeting, including the preparation of proxy statements, and advise on shareholder-related matters. You will assist with registered and unregistered securities offerings and complex strategic initiatives. You will support corporate-related tasks, such as developing and implementing corporate policies and procedures, drafting compliance certificates, advising on director & officer matters, etc. Finally, you will provide general advice and counsel to business partners in DoorDash’s Finance, Accounting, Equity Administration, Compensation, Corporate Development, Tax, Insurance, and Investor Relations teams.

Requirements

  • 5+ years of experience as a corporate securities and/or executive compensation and benefits lawyer, working in-house at a public company, at a law firm, or a combination of both
  • Experience with equity programs and processes, including unique equity award structures, related reporting requirements and coordination with Equity Administration teams
  • Commitment to fostering a diverse, equitable, and inclusive work environment and have prioritized participating in DEI initiatives in past roles
  • Excellent verbal and written communication skills, including the ability to synthesize and present complex ideas simply and understandably to employees at all levels of the organization and external stakeholders
