About The Position

The Counsel position provides transactional, regulatory, and other corporate legal services in support of corporate functions and business initiatives at Blue Cross Blue Shield Massachusetts. This role supports the BCBSMA business areas, including Enterprise Technology (ET), by drafting and negotiating a wide variety of complex vendor arrangements, such as IT infrastructure agreements, license agreements, SaaS agreements, Cloud agreements, consulting agreements, and service agreements. It also provides legal support to BCBSMA corporate functions, including investment due diligence, banking agreements, and corporate governance, with opportunity for expanded responsibility over time. The role involves drafting and negotiating confidentiality agreements, non-disclosure agreements, and data use agreements. Additionally, it requires drafting and negotiating agreements for services using Protected Health Information and/or Personally Identifiable Information; advising on the procurement and deployment of Artificial Intelligence tools, including AI vendor risk assessment, responsible AI governance, algorithmic bias and transparency considerations, and compliance with emerging federal and state AI regulations. The position also provides legal review of internal and external communications, supports the company in its efforts to focus on business needs and regulatory compliance (including HIPAA, state health data privacy laws, and applicable data breach notification requirements), and helps the company achieve business goals in a complex regulatory environment. It involves identifying, analyzing, and advising on potential legal issues and risks, and managing a large and diverse workload to meet business demands at an appropriate level of detail consistent with internal and external deadlines. The role also supports key Law Department initiatives, including the advancement and adoption of AI tools and the implementation of other legal operations tools and process changes.

Requirements

  • JD degree from ABA-accredited law school.
  • Active member in good standing of the Massachusetts Bar.
  • 3-5 years of relevant technology and/or corporate law experience law in an in-house legal department.
  • Demonstrated experience in drafting and negotiating complex technology and commercial agreements (e.g., SaaS, software licensing, IT infrastructure, professional services).
  • Solid understanding of corporate law principles.
  • Excellent communication skills and the ability to explain complex legal issues to a non-legal audience.
  • A proactive and collaborative approach to problem-solving.
  • Excellent business acumen and judgment, including ability to place legal risk in proper business context.
  • Strong organizational and prioritization skills; ability to manage multiple priorities effectively.
  • Skill to solve problems independently accompanied by willingness to work as a team member.
  • High school degree or equivalent required.

  • Familiarity with laws and regulations related to AI, including emerging AI governance frameworks.
  • A strong interest in developing expertise in privacy and data protection laws (e.g., HIPAA, MA Identity Theft Law).
