About The Position

Clio is seeking a sharp commercial lawyer to join its high-impact legal team. This role will primarily support the Sales team by negotiating and closing deals across SMB, Enterprise, and Public Sector. The position requires the ability to context-switch across a wide range of business questions and contribute to building consistent processes for scale. As an AI-first company, Clio expects all team members to embrace and experiment with AI in their daily work and legal operations.

Requirements

  • Called to the bar in a Canadian province or territory, in good standing.
  • 3-5 years of experience as a commercial or technology lawyer.
  • Demonstrated depth in SaaS agreements, NDAs, privacy law, and partnerships.
  • Enjoyment and skill in negotiating deals.
  • Comfort with rapid pace and variable scope, with the ability to adapt quickly and stay organized under pressure.
  • Good judgment and the ability to make decisions without perfect information, with the understanding of when to escalate.
  • Deep curiosity about AI and legal tech, and ideally, experience using these tools in practice.
  • Strong communication skills to translate legal risk clearly for non-lawyers.
  • Team player attitude.

Nice To Haves

  • Experience with public sector or SLED transactions.
  • Experience with government procurement processes.

Responsibilities

  • Own the full lifecycle of Sales Agreements, including NDAs, drafting, redlining, negotiating, and closing deals at pace.
  • Develop relationships with internal stakeholders (Compliance, Security, Channel Partnerships) to facilitate deal progression.
  • Support Public Sector Contracting, including navigating government procurement frameworks and public sector-specific terms for SLED and municipal customers.
  • Provide legal advice on partnership strategy and structure referral and revenue partnership agreements.
  • Advise on Intellectual Property (IP), licensing, trademarks, and technology law, with a focus on the intersection of AI and legal tech.
  • Support the privacy compliance program, including policies, data breach response, DPIAs, and regulatory guidance, collaborating with international colleagues.
  • Contribute to Legal Operations by improving processes and shaping the use of AI and other tools within the legal function.
