About The Position

Nearmap is seeking a commercially-minded Legal Counsel (Contract) to join their team. This role will be critical in integrating a recent acquisition (itel) and scaling the North America business. The position involves leading legal workstreams for vendor contract integration, partnering with Sales, Go-To-Market, and Operations teams to support high-impact deals. The attorney will be responsible for negotiating, drafting, and structuring complex enterprise SaaS and data licensing agreements, primarily within the insurance sector. This is a highly visible role that requires acting as a business partner, advising on deal strategy, navigating legal and regulatory considerations (including data privacy and emerging technologies like AI/ML), and representing the company in negotiations. The role also involves cross-functional collaboration with the global legal team and ensuring compliance with evolving laws and industry standards. The ideal candidate will be pragmatic, solutions-oriented, and able to translate complex legal concepts into clear guidance in a fast-paced, collaborative environment. While initially a contract position, there is a strong opportunity for conversion to a permanent role.

Requirements

  • JD or equivalent degree.
  • Admitted to the bar and in good standing or otherwise authorized to practice law in the United States.
  • Minimum 5-8 years legal experience.
  • Combination of in-house experience (ideally within an insurance or SaaS environment) and law firm transactional experience preferred.
  • Strong experience in drafting and negotiating complex enterprise contracts, including software licensing (SaaS - vendor side), licensing arrangements involving artificial intelligence, machine learning and machine derived attributes, and data privacy.
  • Ability to operate in a fast-paced work environment.
  • Proven ability to address complex problems and business needs while reasonably balancing risk.
  • Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language.
  • Strong interpersonal communication skills needed to be an effective business partner.
  • Strong time management, prioritization, and organizational skills.
  • Able to handle matters with minimal supervision.
  • Proficient in MS Office suite of products.
  • Comfort working across time zones and with distributed teams.
  • A self-starter.
  • Strong interest in technology.
  • Able to communicate and interact effectively at all levels and collaborate across operating locations.

Nice To Haves

  • Experience with systems such as Salesforce, Conga, JIRA, and Slack preferred.

Responsibilities

  • Manage legal workstream for vendor contract integration, including defining fit for purpose approach, drafting, reviewing, and negotiating external-facing product and vendor contracts.
  • Support the North American sales organization and go-to-market efforts by advising sales and partnerships teams on deal structure and contract negotiations, including legal risks and liabilities.
  • Represent Nearmap’s interests and interface directly with opposing counsel and negotiation teams.
  • Attend to legal-related requests and inquiries from internal stakeholders.
  • Attend to legal-related external customer support requests and inquiries.
  • Ensure compliance with applicable laws, including those specific to the insurance sector and data privacy.
  • Work with the global legal team on projects as needed.
  • Ensure compliance with Nearmap values, policies, and standards, and all local statutory requirements.
  • Adhere to company guidelines and the corporate Code of Conduct.
  • Act in an ethical way when dealing with company assets and other people.
  • Comply with all applicable legislative requirements.
  • Keep up to date with legislative requirements where appropriate.
