About The Position

Embross is looking for a Legal and Contract Manager to join their team. This role is crucial in ensuring the efficient and effective closing of business under consistent and favorable contract terms. The Legal and Contract Manager will be responsible for preparing, reviewing, and assessing sales contracts, managing contracts with global customers and partners, and maintaining contract templates. This role also involves managing vendor contracts to ensure favorable terms and pricing. Collaboration with internal stakeholders across various departments such as Sales, Operations, Finance, Engineering, Production, and Product Development is essential. The position requires dealing with internal clients and teams with potentially conflicting priorities and interests, necessitating strong collaboration and engagement skills.

Requirements

  • Bachelor’s or higher degree in law
  • Strong verbal and written communication skills in English
  • 5+ years experience in Legal and Contract Management
  • Excellent project and time management skills including experience in the planning, developing, and maintaining of contract processes
  • Risk analysis experience and appreciation of business considerations; able to distinguish between that which is critical and that which may be compromised on
  • Meticulous attention to detail and accuracy
  • Excellent oral and written communication, drafting, and negotiation skills
  • Contract Negotiations experience
  • Ability to review Prime Contracts, Subcontracts, License Agreements, General Terms, Statements of Work, and similar to understand obligations, liabilities, and risks; highlight risks and work with management to determine the acceptable risk level.
  • Drafting and negotiation of customer Contracts, Supply Agreements, etc.
  • Prepare, develop, and manage timely contractual correspondence and notices by contractual requirements.
  • Develop and maintain efficient systems and processes for identifying and capturing any potential commercial risks and issues and changes.
  • Ensure a current log of all issues and changes are maintained for each contract.
  • Ensure accurate issue files for all contractual/commercial issues are maintained for each contract.
  • Manage the administration of upstream and downstream contracts.
  • Implement proper document control processes and ensure compliance.
  • Identify needs for outside legal counsel in event of legal issues, liaise with the outside legal council as required.
  • Perform periodic risk assessments and provide recommendations for any available mitigation measures.
  • Assist the bids and proposals teams in reviewing legal terms of RFQs, RFPs, and associated documents, including proposed contracts.
  • Work at times outside of normal business hours.

Responsibilities

  • Manage the contracting process with global partners and customers from negotiation to signing and implementation.
  • Coordinate contract verbiage with internal departments including Finance, Sales, and Operations.
  • Draft, manage, and implement all contract templates including amendments, renewals, purchase agreements, Statements of Work, framework agreements, licensing agreements, service agreements, privacy agreements, general terms, and terminations.
  • Tailor and negotiate contracts including amendments, renewals, purchase agreements, Statements of Work, framework agreements, licensing agreements, service agreements, privacy agreements, general terms, and terminations based on delivery, scope, and risk tolerance.
  • Manage contract lifecycles and serve as the point of contact for internal and external customers regarding contractual issues.
  • Review and negotiate vendor contracts.
  • Document customer correspondence, status reports, and other relevant contract-related documents.
  • Update and revise standard contracts and assist in organizing and building a library of templates.
  • Organize workflows for reviewing current processes and developing new ones to improve team efficiency, productivity, and impact, including improving intake systems and other tools.
  • Provide contract-related support to the Sales team throughout the sales process, including responding to legal inquiries, drafting special terms and conditions, responding to redlines, reviewing customer-provided agreements, drafting changes to routine contracts, and drafting/negotiating Statements of Work and framework agreements.
  • Utilize AI tools to assist with all responsibilities.
  • Conduct the preparation and/or review and assessment of sales contracts.
  • Manage contracts with Embross customers and partners globally.
  • Manage Embross contract templates (General Terms, Statements of Work, etc.).
  • Tailor contract templates to specific opportunities.
  • Review customer-provided contracts.
  • Track and handle renewals.
  • Work towards eventually negotiating contracts with customers.
  • Manage the procurement process, ensuring favorable terms and pricing with vendors globally.
  • Work alongside sales and operations teams to drive the contract review and administration process.

  • Build trust with the internal business team to ensure they don’t run into problems and assist when issues come up.
