About The Position

Solace is a Series C startup founded in 2022, aiming to simplify healthcare navigation for patients. We are seeking a Lead Commercial Counsel to act as a trusted, pragmatic partner for company-wide transactions. Reporting to the Chief Legal Officer, this role will be the legal architect for the commercial operations and a strategic partner for growth initiatives. The initial focus will be on commercial workflows, with the flexibility to expand into areas like corporate governance, product counseling, and regulatory strategy as the company scales. This is a senior individual contributor role focused on building scalable legal infrastructure for safe and swift operations within the healthcare ecosystem, with a direct path to increased responsibility. The ideal candidate is a builder who believes in deeply embedded legal teams within the business.

Requirements

  • Juris Doctor (JD) degree.
  • Admission to a US state bar.
  • 6 to 10+ years of experience.
  • Deep track record in commercial and healthcare counseling.
  • Experience ideally within a high-growth, in-house environment.
  • Systems thinker with a proven ability to evaluate, implement, and manage legal tech (CLM, AI tools).
  • Experience building contract workflows from the ground up to improve efficiency.
  • Comfortable with ambiguity and the challenge of creating order out of chaos in a startup environment.
  • Excellent legal judgment.
  • "Business-first" communication style.
  • Low-ego, highly collaborative.
  • Capable of influencing stakeholders across the organization without relying on "red tape."
  • Must be based in the United States.

Nice To Haves

  • Experience supporting tech-enabled services or advocate matching workflows.
  • Experience in corporate governance, board preparation, or supporting financing rounds.
  • Experience navigating the nuances of multi-state healthcare delivery and privacy.
  • Strong desire to lead in product/marketplace, corporate, or regulatory areas.

Responsibilities

  • Lead the drafting and negotiation of high-stakes agreements, including MSAs, BAAs, and strategic partnerships.
  • Design playbooks and templates to increase deal velocity and provide clarity for deal execution.
  • Serve as the architect of the legal infrastructure, owning the tech stack (CLM, Legal AI), automating workflows, and identifying process gaps.
  • Transform the legal function from a manual process into a data-driven, scalable engine.
  • Serve as the primary legal advisor to the broader business.
  • Advise on healthcare regulatory matters.
  • Support the Chief Legal Officer on corporate initiatives such as governance and equity.
  • Translate dense regulatory frameworks into actionable, real-world guidance.
  • Find pathways through theoretical risk to achieve business objectives.
