About The Position

Tarter Krinsky & Drogin LLP (TKD) is seeking a dynamic, results-driven attorney with 6-8 years of experience to join their International Practice Group. This role involves providing business-minded general legal counsel and representation to clients, focusing on general corporate, commercial, and intellectual property matters. The ideal candidate will be dedicated, intelligent, versatile, detail-oriented, and resourceful, capable of delivering top-quality legal representation and exceptional client service. The position requires collaboration with other attorneys within the firm and involves drafting, reviewing, and negotiating a wide variety of legal documentation, as well as reviewing advertising and marketing materials. The role also includes drafting and negotiating corporate documents, assisting with corporate governance, drafting legal memoranda, supporting the Litigation Group, interfacing with external advisors, and delegating/reviewing the work of junior attorneys.

Requirements

  • Fluency in Italian (verbally and written).

Responsibilities

  • Provide business-minded general legal counsel and representation to clients in support of their day-to-day operations, in the areas of general corporate, commercial, intellectual property, among others, in collaboration with attorneys from other groups of the Firm.
  • Review, draft and negotiate a wide variety of legal documentation including distribution agreements, sales representation agreements, consulting contracts, public relations services agreements, logistics services agreements, credit applications, intellectual property transfer and license agreements, celebrity endorsement agreements, general terms and conditions of sale, retail policies, stock transfer agreements, and joint venture agreements.
  • Review and revise advertising, marketing, and sales materials for legal related issues.
  • Draft, review, and negotiate corporate documents, including charter documents, by-laws, and corporate minutes. Assist shareholders, directors, and officers in connection with corporate governance matters.
  • Draft memoranda on various aspects of U.S. law.
  • Assist the firm’s Litigation Group with dispute resolution matters, debt collection matters and sensitive customer complaints.
  • Interface with tax advisors, auditors, and foreign lawyers.
  • Delegating work to and reviewing the work of junior attorneys.
