About The Position

As Waymark's General Counsel, you will lead the legal function and serve as a core member of the executive leadership team, partnering directly with the CEO and Board of Directors on the legal, regulatory, and strategic matters shaping Waymark's mission to transform care for Medicaid populations. You will own corporate legal, commercial contracting, privacy, compliance, and cybersecurity, building the systems, policies, and team needed to scale a healthcare technology company operating in a complex and rapidly evolving regulatory environment. You will lead and develop a growing legal and securities team while continuing to build out the function as Waymark grows. You should be energized by the opportunity to shape legal, compliance, and security strategy at the executive level, translate complex regulatory requirements into practical business guidance, and build durable infrastructure from the ground up.

Requirements

  • Must be admitted to the bar and in good standing, or otherwise authorized to practice law (e.g., registered in-house status), in the state where the position is located.
  • 15+ years of legal experience, including significant in-house leadership experience, ideally within healthcare, health tech, or another regulated industry.
  • Demonstrated experience building and leading a legal function—including compliance and privacy programs—from the ground up.
  • Proven experience advising C-suite executives and/or a Board of Directors on strategic, legal, and risk matters.
  • Experience managing and developing legal and compliance team members.
  • Passionate about improving healthcare for underserved communities.

Nice To Haves

  • Prior experience serving as General Counsel or Chief Legal Officer at a healthcare or health tech company.
  • Deep understanding of Medicaid programs, managed care organizations (MCOs), and public health frameworks.
  • Experience overseeing cybersecurity or information security programs within a technology company.
  • Experience supporting capital raises, board governance, and equity administration at a venture-backed company.
  • Ability to build legal, compliance, and security infrastructure from scratch in a fast-paced, scaling organization.

Responsibilities

  • Serve as a trusted advisor to the CEO, executive leadership team, and Board of Directors on legal, regulatory, and enterprise risk matters, including equity, financing, and corporate governance.
  • Build, lead, and develop Waymark's legal team, establishing scalable processes and systems as the company grows.
  • Oversee corporate legal matters and commercial contracting of the highest complexity, including value-based care agreements, vendor and supply agreements, and strategic partnerships.
  • Design, implement, and oversee a comprehensive compliance program addressing HIPAA/privacy, fraud, waste, and abuse (FWA), the Stark Law, the Anti-Kickback Statute (AKS), and other state and federal healthcare regulations.
  • Own Waymark's privacy program, ensuring appropriate policies, controls, and cross-functional practices for handling sensitive patient and member data.
  • Oversee Waymark's information security function, partnering with technology teams on security policy, incident response, and vendor risk management.
  • Establish and manage enterprise risk management protocols tailored to a scaling healthcare technology company, proactively identifying and mitigating legal, regulatory, and operational risk.
  • Provide clear, practical, and creative legal guidance to stakeholders across the business, often under short timelines and amid ambiguity.
